"Act" means The Watershed Districts Act . («  Loi » ) "continued watershed district" means a watershed district listed in the second column of the table in section 2, that continues the former conservation districts listed opposite in the first column of that table. (« district hydrographique maintenu ») "designated employee" means an employee of the minister's department who is designated in writing by the minister. (« employé désigné ») "former Act" means The Conservation Districts Act , as that Act read immediately before the coming into force of Part 1 of The Sustainable Watersheds Act (Various Acts Amended) , S.M. 2018, c. 6. (« loi antérieure ») "former conservation district" means a conservation district listed in the first column of the table in section 2, as that district existed immediately before the coming into force of this section. (« ancien district de conservation ») "Schedule" means a Schedule to this regulation. (« annexe ») "written notice" means notice delivered by mail, courier, fax, or e-mail. (« avis écrit ») Watershed districts continued 2 The conservation districts formed under the former Act — and renamed watershed districts under Part 1 of The Sustainable Watersheds Act (Various Acts Amended) , S.M. 2018, c. 6 — listed in the first column of the following table are continued as the watershed district named opposite in the second column, as provided for in the Schedule indicated: Former conservation districts Continued watershed districts Lake of the Prairies Little Saskatchewan River Upper Assiniboine River Assiniboine West (Schedule 1) Assiniboine Hills Central Assiniboine (Schedule 2) East Interlake East Interlake (Schedule 3) Intermountain Turtle River Watershed Inter–Mountain (Schedule 4) Kelsey Kelsey (Schedule 5) Cooks Creek Northeast Red (Schedule 6) Pembina Valley Pembina Valley (Schedule 7) La Salle Redboine Redboine (Schedule 8) Seine–Rat River Seine Rat Roseau (Schedule 9) Turtle Mountain West Souris River Souris River (Schedule 10) Swan Lake Watershed Swan Lake (Schedule 11) West Interlake Watershed West Interlake (Schedule 12) Alonsa Westlake (Schedule 13) Whitemud Watershed Whitemud (Schedule 14) Schedules 3(1) The Schedule for a watershed district sets out (a) the boundaries of the district; (b) the subdistricts of the district, including each subdistrict's membership and boundaries, if any; (c) the borrowing limits for the district; (d) the works of an included municipality for which the district assumes responsibility for constructing, operating and maintaining, if any; and (e) the prescribed percentage for the purposes of subsection 25(2) of the Act, if the included municipalities of the district are to raise funds in that manner for the district's operations. 3(2) For certainty, the effective date of a subdistrict provided for in a Schedule is the day this section comes into force. WATERSHED SUBCOMMITTEES AND BOARDS Appointments to subcommittees 4(1) A ratepayer is eligible for appointment to a subcommittee by an included municipality if the ratepayer is an eligible voter, as defined in The Municipal Councils and School Boards Elections Act , of the municipality. 4(2) An included municipality may appoint a ratepayer to more than one subcommittee in a district, but the ratepayer is not eligible to hold more than one office as a subcommittee chair or vice-chair. 4(3) An included municipality that is required to appoint one ratepayer to a subcommittee may, in doing so, appoint a ratepayer who is a municipal councillor. 4(4) An included municipality that is required to appoint more than one ratepayer to a subcommittee must, in doing so, appoint at least one ratepayer who is not a municipal councillor. Term of office: subcommittee members 5(1) A ratepayer appointed to a subcommittee by an included municipality assumes office immediately following their appointment and serves for a term of one year. 5(2) Despite subsection (1), a ratepayer appointed by an included municipality continues to hold office until they are re-appointed, their appointment is revoked or a successor is appointed. Subcommittee elections 6 A subcommittee must elect its chair and vice-chair as soon as practicable after each of the included municipalities have appointed all their ratepayers to the subdistrict. Term of office: board members 7(1) For a district without subdistricts, a board member of the type listed in the first column has a term as listed in the corresponding column: Board member Term a member appointed by an included municipality one year a member appointed by the board one year a member appointed by the minister as specified in the person's appointment, or, if no term is specified, the member serves at the pleasure of the minister 7(2) For a district with subdistricts, a board member of the type listed in the first column has a term as listed in the corresponding column: Board member Term a subcommittee chair one year or when the person's term as subcommittee chair ends, whichever is earlier an additional member appointed by a subcommittee one year or when the person's term on the subcommittee ends, whichever is earlier a member appointed by the board one year a member appointed by the minister as specified in the person's appointment, or, if no term is specified, the member serves at the pleasure of the minister Board elections 8(1) A board must meet and elect its chair and vice-chair as soon as is practicable after each subcommittee in the district has elected its chair. 8(2) If an election under subsection (1) results in a tie between two or more candidates, the board must resolve the tie by using the following methods in sequential order until the chair or vice-chair is elected: 1. Hold up to two additional rounds of voting by the members of the board. 2. Hold a vote by the vice-chairs of each subcommittee. 3. Determine by lot between the candidates. 8(3) The board must give the minister written notice of the meeting at which an election for chair and vice-chair will be held if, at the time a meeting is scheduled, the minister has not made any or all possible appointments under subsection 10(2) of the Act. 8(4) If a subcommittee chair is elected as the chair of a board, the vice-chair of that subcommittee is, for the purpose of subclause 10(2)⁠(b)⁠(ii) of the Act, the additional member of the subcommittee to serve on the board. Meetings called by minister and employees 9 The minister or a designated employee may call any of the following meetings of a board or a subcommittee, if the minister or a designated employee determines that it is required for the effective functioning of the board: (a) the first meeting of a board or subcommittee; (b) a meeting held for the purpose of subcommittee elections under section 6 or board elections under subsection 8(1). Notices 10 Notice of a meeting under this regulation, including a first meeting, must be given by written notice at least 10 days in advance of the meeting date, and specify the date, time and location for the meeting. Resignation and revocation 11(1) A member of a board or a subcommittee may resign their position by providing written notice to (a) the chair or secretary of the applicable board or subcommittee; and (b) the authority that appointed or elected the member to the board. 11(2) A board or subcommittee may remove a member, other than a member appointed by the minister, from office by a resolution supported by at least 2/3 of the total number of members. 11(3) If the member removed under subsection (2) is an appointee of an included municipality, the board or subcommittee must provide a copy of the resolution to that included municipality. Vacancy on a board or subcommittee 12(1) A vacancy for any of the following offices must be filled by the responsible authority as soon as practicable: (a) a chair or vice-chair of a board or subcommittee; (b) a subcommittee position to be filled by a person appointed by an included municipality. 12(2) The term of an office holder under subsection (1) expires on the date the previous holder's appointment would have expired. 12(3) When a person who is both a board chair and a subcommittee chair resigns both of their offices, (a) the additional member appointed by a subcommittee is deemed to be the chair of the subcommittee for the purpose of determining board membership; and (b) a new additional member of the board shall be appointed on the election of the new chair. 12(4) When a person who is both a board chair and subcommittee chair resigns only as board chair, the additional member appointed by a subcommittee is deemed to resign from the board. MEETINGS Regular meetings of a board and subcommittees 13 A board and its subcommittees must hold regular meetings, at least quarterly for boards and at least every six months for subcommittees. Special meetings 14(1) A board meeting must be held within 30 days of the chair receiving a written request to do so from the minister or at least 1/3 of the board members. 14(2) A notice of a special meeting must specify the matters to be considered at the meeting, and no other matters may be considered at the meeting. Observer 15 A designated employee may attend board meetings but is not entitled to vote. Board meeting procedure 16(1) Each member of a board or subcommittee has one vote, except for the chair, who may only vote on a matter to break a tie vote. 16(2) A district or a subdistrict may determine their respective meeting procedures, but must do so in accordance with the Act, this regulation and any applicable by-laws. ADMINISTRATION Responsibilities of board chair and vice-chair 17(1) A board chair's responsibilities include (a) calling and presiding at board meetings; (b) signing agreements on behalf of the board; and (c) representing the board in all transactions and activities, including communicating with the minister, the subcommittees and the councils of the included municipalities of the district. 17(2) The vice-chair of a board has the authority of the chair if (a) the chair is absent or unable to act; (b) authorized by the chair; or (c) the office of the chair is vacant. Responsibilities of subcommittee chair and vice-chair 18(1) A subcommittee chair's responsibilities include (a) calling and presiding at subcommittee meetings; and (b) attending to all subcommittee correspondence. 18(2) The vice-chair of a subcommittee has the authority of the chair if (a) the chair is absent or unable to act; (b) authorized by the chair; or (c) office of chair is vacated, in which case the vice-chair is deemed to be the chair for the purpose of subclause 10(2)⁠(b)⁠(i) of the Act. Secretary-treasurer 19(1) In addition to any other duties assigned by the board, (a) the secretary or the secretary-treasurer, as the case may be, is responsible for maintaining records relating to the board's governance, including the minute book, by-laws and agreements entered into by the board; and (b) the treasurer or the secretary-treasurer, as the case may be, is responsible for collecting and receiving amounts owing to the board in accordance with the Act. 19(2) A secretary, treasurer or secretary-treasurer appointed by the board serves at the pleasure of the board. 19(3) With the approval of the minister, a board may appoint an employee of the minster's department as the secretary, treasurer or secretary-treasurer of the board for a term of up to one year. By-law requirements 20(1) A by-law made by a board under section 11.1 of the Act is not effective until it is signed and dated by the board chair and certified by the board secretary. 20(2) A board must make its by-laws and minute book publicly available. Code of conduct 21 Each board must establish, by by-law, a code of conduct for its members and employees. Agreements 22 Two or more districts may jointly employ staff, but the terms of the joint employment agreement must be in writing and executed by all districts party to the agreement. Agreements with board members 23(1) A district may enter into agreements with its board members, but the cumulative value of the agreements with each individual board member must not exceed $50,000 in a year, unless the district receives written permission to do so by the minister. 23(2) For the purposes of calculating cumulative value under subsection (1), an agreement with a company that has at least 10% ownership by a board member is to be treated as an agreement with the individual board member. 23(3) A board member must recuse themself from a board meeting, or part of a meeting, when the board is deliberating or voting on an agreement with that board member. Procedure for a district to collect unpaid amounts 24(1) An included municipality must remit amounts due to a board under section 26.1 of the Act on the dates specified in the statement forwarded to the municipality by the board, but the board must not specify a date for remittance earlier than April 1 or later than October 31 in a year. 24(2) A remittance is overdue if it is not paid by October 31 and bears interest until the day it is paid. The interest is to be calculated in accordance with section 4 of the Interest Rate Regulation , Manitoba Regulation 85/2012, and for that purpose, a board is deemed to be government. APPEALS Appeal of board decision 25(1) An appeal under section 34 of the Act may be commenced by (a) filing a notice of appeal with the clerk of the Municipal Board that includes (i) a summary of the grounds of appeal, and (ii) the name and contact information for each board and included municipality involved in the matter; and (b) serving a copy of the notice of appeal on the secretary or secretary-treasurer of each board and the clerk of each included municipality involved in the matter within 14 days of filing the notice of appeal. 25(2) The notice under subsection (1) may be served personally, by registered mail or by e-mail. TRANSITIONAL MATTERS Definition: "interim period" 26 In sections 27 to 30, "interim period" means the period beginning on the day this section comes into force and ending on March 31, 2020. Transition for schemes and budgets 27 During the interim period, (a) the scheme of a former conservation district continues to apply in the area of the former conservation district that is within the continued watershed district; and (b) a continued watershed district may not expend any amounts other than amounts that were included in the budget of one of its former conservation districts. Transition for subcommittees and boards 28(1) A member of a subcommittee of a former conservation district ceases to hold office on the coming into force of this section. 28(2) For certainty, (a) once the included municipalities have made their appointments to a subcommittee of a continued watershed district, those appointed may meet before the coming into force of this section and elect the persons who will serve as the chair and vice-chair of the subcommittees; (b) when all possible elections under clause (a) have been made, those elected to be the chairs of the subcommittees of the continued watershed district along with any member of a former conservation district appointed by the minister may, before the coming into force of this section, meet for the following purposes: (i) electing the persons who will serve as chair and vice-chair of the board of the continued watershed district, (ii) making any appointments under subclause 10(2)⁠(b)⁠(iii) of the Act to the board of the continued watershed district; and (c) despite clause (b), the only member of a former conservation district appointed by the minister that is eligible to attend a meeting under subsection (3) for the continued Assiniboine West Watershed District is the member from the former Lake of the Prairies Conservation District. 28(3) If the chair of a continued watershed district has not been elected on the coming into force of this section, then the persons who were members of the boards of the former conservation districts immediately before the coming into force of this section continue as board members of the continued watershed district until the first meeting of the continued watershed district board is held. Transition for by-laws 29 A by-law of a former conservation district continues in force as a by-law of the continued watershed district until the by-law is replaced, amended or revoked. If there is an inconsistency between the by-laws of two or more of the former conservation districts, the provisions of the by-law of the former conservation district with the largest geographic area prevails. Transition for works 30 A continued watershed district has no responsibility for constructing, operating and maintaining a work that, immediately before the coming into force of this section, was within the jurisdiction, authority or control of a former conservation district, unless the work is set out in the Schedule for the continued watershed district. Repeal 31(1) The Conservation Districts Establishment Regulation is repealed. 31(2) The Conservation Districts Regulation , Manitoba Regulation 14/88 R, is repealed. COMING INTO FORCE Coming into force 32 This regulation comes into force on the same day that Part 1 of The Sustainable Watersheds Act (Various Acts Amended) , S.M. 2018, c. 6, comes into force. District and subdistrict boundaries 2 The boundaries of the Inter–Mountain Watershed District are formed by the areas of the subdistricts of the District, as the area of those subdistricts are shown on the map to this Schedule. Works specified 3 For the purposes of clause 8(2)⁠(g) of the Act, the Inter–Mountain Watershed District is responsible for constructing, operating and maintaining the district drains and other works shown on the map to this Schedule.
