This Act sets rules for Manitoba cooperatives, including who may incorporate one, what the articles must contain, and how cooperatives must be organized and operated. This part sets filing, name, records, governance, and share rules for cooperatives, and gives the Registrar and minister powers to require filings, order changes, and enforce compliance. This part lets cooperatives limit or revoke investment-share constraints, issue and redeem shares subject to solvency limits, allocate surplus to members, and requires disclosure and Superintendent oversight for certain share issuances. This Part sets rules for cooperative share and membership certificates, transfers, registers, endorsements, and related rights and limits. This provision covers cooperative security transfers, trust indentures, and cooperative governance rules.
