Definitions 1. In this Regulation, “local board” means the Ontario Sheep Farmers; (“commission locale”) “processing” means the slaughtering of sheep; (“transformation”) “processor” means a person who slaughters sheep or has sheep slaughtered for them; (“transformateur”) “producer” means a person engaged in the production of sheep or wool; (“producteur”) “sheep” includes rams, wethers, ewes and lambs; (“ovin”) “wool” means the wool of any sheep. (“laine”) O. Reg. 122/23, s. 1. Plan 2. This Regulation sets out the plan for the control and regulation of the producing and marketing of sheep and wool within Ontario, including the prohibition of such producing and marketing in whole or in part. O. Reg. 122/23, s. 1. Local board 3. (1) The local board known as the Ontario Sheep Marketing Agency is continued under the name “Ontario Sheep Farmers”. O. Reg. 122/23, s. 1. (2) The local board has the authority and shall exercise the powers and perform the duties that the Commission delegates to it under the Act and that are given or assigned to it by this Regulation or any other applicable Act or regulation of Ontario or Canada. O. Reg. 122/23, s. 1. (3) The local board has the following powers: 1. The local board has the powers of a natural person that are necessary to exercise its other powers and perform its duties under the Act or any other Act of Ontario or Canada, subject to any limitations set out in this Regulation or any other applicable regulation made under the Act. 2. The local board may accept extra-provincial powers and rights. 3. If authorized by by-law, and subject to Regulation 400 of the Revised Regulations of Ontario, 1990 (By-laws for Local Boards) made under the Act, the local board may, i. borrow money on the credit of the local board, ii. issue, sell or pledge debt obligations of the local board, or iii. charge, mortgage, hypothecate or pledge all or any currently owned or subsequently acquired real or personal property of the local board, including book debts, rights, powers, franchises and undertakings, to secure any debt obligations or any money borrowed or other debt or liability of the local board. (4) The local board shall not, (a) establish or acquire a controlling interest in a corporation or other entity; (b) exercise its powers and perform its duties, or purport to do so, through a corporation or other entity; or (c) indemnify or agree to indemnify any person in relation to any action or other proceeding except as permitted by Regulation 400 of the Revised Regulations of Ontario, 1990. O. Reg. 122/23, s. 1. Local board composition 4. The local board shall be composed of 11 members elected or appointed in accordance with this Regulation and shall hold office until their successors take office. O. Reg. 122/23, s. 1. Districts 5. (1) The producers are divided into 11 districts as follows: 1. District 1, comprising the geographic areas of Essex, Chatham-Kent, Lambton, Middlesex and Elgin. 2. District 2, comprising the geographic areas of Grey and Bruce. 3. District 3, comprising the geographic areas of Huron, Perth and Oxford and Waterloo. 4. District 4, comprising the geographic areas of Brant, Hamilton, Haldimand, Norfolk and Niagara. 5. District 5, comprising the geographic areas of Wellington, Dufferin, Halton and Peel. 6. District 6, comprising the geographic areas of Simcoe, Muskoka and Parry Sound. 7. District 7, comprising the geographic areas of Toronto, York, Durham, Kawartha Lakes, Peterborough, Northumberland and Haliburton. 8. District 8, comprising the geographic areas of Lennox and Addington, Hastings, Prince Edward and Frontenac and the County of Leeds. 9. District 9, comprising the geographic areas of Renfrew and Lanark, and Ward 4 – Kanata and Ward 5 – West Carleton of the City of Ottawa as established by Ontario Regulation 407/00 (Ward Descriptions) made under the City of Ottawa Act, 1999. 10. District 10, comprising the geographic areas of Prescott and Russell, Stormont, Dundas and Glengarry and Ottawa, other than Ward 4 – Kanata and Ward 5 – West Carleton of the City of Ottawa as established by Ontario Regulation 407/00 (Ward Descriptions) made under the City of Ottawa Act, 1999, and the County of Grenville. 11. District 11, comprising the geographic areas of Algoma, Cochrane, Kenora, Manitoulin, Nipissing, Rainy River, Sudbury, Thunder Bay and Timiskaming. O. Reg. 122/23, s. 1; O. Reg. 317/23, s. 1. (2) In subsection (1), “geographic area” means a geographic area under the Territorial Division Act, 2002. O. Reg. 122/23, s. 1. District Sheep Committee 6. There shall be a committee of not fewer than three and no more than seven members who are producers in each district to be known as the “District Sheep Committee”. O. Reg. 122/23, s. 1. Elections 7. (1) Subject to subsection (4), not fewer than 30 days prior to the annual meeting of the local board, the producers in each district shall elect from among themselves, (a) the members of the District Sheep Committee; (b) a member of the local board, if required under section 8; and (c) one voting delegate for each 30 registered producers or fraction thereof in the district to the annual meeting of the local board. O. Reg. 122/23, s. 1; O. Reg. 317/23, s. 2 (1). (2) No person is eligible to vote or be elected unless they are registered as a producer with the local board. O. Reg. 122/23, s. 1. (3) If the registered producer is a corporation or partnership, it may designate the person eligible to vote and be elected on its behalf. O. Reg. 122/23, s. 1. (4) In 2023, the producers in District 9 and District 10 shall elect from among themselves the positions under clauses (1) (a) to (c) between the day Ontario Regulation 317/23 came into force and the annual meeting of the local board, and the results of those elections shall prevail over any previous elections. O. Reg. 317/23, s. 2 (2). Election to local board 8. (1) One person shall be elected to the local board from each district for a term of three years from the first meeting of the local board after the annual meeting calculated from, (a) 2023 for Districts 3, 6 and 9; (b) 2024 for Districts 1, 4, 7 and 10; and (c) 2025 for Districts 2, 5, 8 and 11. O. Reg. 122/23, s. 1. (2) At the first meeting of the local board after the annual meeting in every year, the members of the local board shall elect a chair and a vice-chair from among themselves. O. Reg. 122/23, s. 1. (3) The first meeting of the local board shall be held within 20 days after the annual meeting in every year. O. Reg. 122/23, s. 1. (4) A producer who has been elected as a member of the local board for three consecutive terms is not eligible to be elected to the local board until three years after the end of the third term. O. Reg. 122/23, s. 1. Vacancies 9. (1) If the producers in a district fail to elect a person to the local board under section 8, the members of the local board may appoint a member at their first meeting after the annual meeting. O. (2) If a member elected to the local board or appointed under this section dies, resigns, becomes unavailable to act or ceases to be a producer in the district before their term has expired, the District Sheep Committee may appoint a producer from the district for the unexpired portion of the term. (3) If the District Sheep Committee fails to appoint a person for the unexpired portion of the term of a member under subsection (2) within 14 days of the death, resignation or date on which the member becomes unavailable to act or ceases to be a producer in the district, the local board may appoint a producer for the unexpired portion of the term. (4) If the local board fails to appoint a producer for the unexpired portion of the term of a member under subsection (2) within 28 days of the death, resignation or date on which the member becomes unavailable to act or ceases to be a producer in the district, the Commission may appoint a producer for the unexpired portion of the term. O. Reg. 122/23, s. 1. (5) A producer who is not eligible to be elected to the local board under subsection 8 (4) is not eligible to be appointed to the local board under this section. O. Reg. 122/23, s. 1. Residency requirement 10. Every person elected or appointed under this Regulation shall be a producer resident in the district for which they are elected or appointed. O.
