Definitions In this Act (a) “corporation” means the members of the Institute of Man and Resources; (b) “Institute” means the Institute of Man and Resources. 1975, c.48, s.2. 2. The Institute of Man and Resources, Incorporated The Honourable Alexander B. Campbell, the Honourable John H. Maloney, Melvin J. McQuaid, Andrew B. Wells, Thomas R. Connor and David M. Catmur and such persons as shall become members of the Corporation hereby incorporated are hereby constituted a body corporate under the name “The Institute of Man and Resources”, and by that name shall have succession and a common seal for the objects and purposes and with the powers hereinafter set forth. 1975, c.48, s.3. 3. Objects and purposes The objects and purposes of the corporation are for the carrying on in Prince Edward Island without pecuniary gain to its members objects of a scientific and educational character and without restricting the generality of the foregoing, particularly for the following objects: (a) the mobilization of talent and resources for the analysis, invention, adaption and application of appropriate energy, food and crop production and living and shelter systems which are socially desirable and ecologically sustainable, and the assessment of probable impacts of such systems; (b) the analysis, adaption, testing and implementation of appropriate energy systems including solar, wind, water, wood, methane and other sources, with a view to improving knowledge of such systems, their social, economic and environmental costs and benefits, and further with a view to providing a better basis for public policy and programs and for institutional and private decisions in the field of renewable energy use; (c) the analysis, adaption, testing and demonstration of environmentally appropriate agricultural, aquacultural, horticultural, silvacultural and animal husbandry systems which reduce dependence on non-renewable resources, inorganic fertilizers and other agro-chemicals and on inappropriate equipment; (d) the testing, demonstration and development of environmentally sustainable production technologies and management systems, having in view a variety of physical and social environments; (e) the provision of support, technical guidance, advice and management assistance to individuals, groups, communities and governments seeking to resolve their energy and food problems; c t Current to: November 1, 2003 Page 3 Section 4 Institute of Man and Resources Act (f) the acquisition and dissemination of information relating to appropriate energy and food production systems; (g) the identification of potential benefits of the local manufacture of components of these alternative systems and, where appropriate, the promotion in Prince Edward Island of the necessary programs pursuant thereto; (h) the examination of existing practices in the production of food and other naturally renewable products and in associated marketing, storage and distributive systems with particular reference to the reduction of waste and the conversion of “waste” to by-product, to assessments of values and attitudes relating to rural homes and communities, to the study of nutritional aspects and to evaluation of the impacts on employment in rural and semi-rural areas of alternative public policies; (i) the design and implementation of programs and processes, pursuant to the above, beneficial to the long-term economy and environment of Prince Edward Island and the Atlantic Provinces, to the eastern seaboard region of North America, and to other areas of the world; (j) in furtherance of the above, the fostering, adaption, testing and evaluation of new inventions and processes for the better use of renewable resources, and the provision and maintenance of laboratories, simulation facilities, library and instructional facilities, and staffs and pilot projects related thereto. 1975, c.48, s.4. 4. Powers, general (1) In furtherance of its objects and purposes the corporation has the same general powers as conferred upon companies incorporated under the Companies Act R.S.P.E.I. 1988, Cap. C-14, except where such powers are inconsistent with this Act. Powers, specific (2) In addition to the powers conferred upon the corporation pursuant to subsection (1) the corporation also has the following powers: (a) to acquire, accept, solicit or receive by purchase, lease, contract, donation, legacy, gift, grant, bequest or otherwise, any kind of real or personal property; and to enter into and to carry out agreements, contracts and undertakings incidental thereto; and (b) to employ and pay such assistance, clerks, agents, representatives and employees and to procure, equip, and maintain such offices or other facilities, and to incur such reasonable expenses as may be necessary. 1975, c.48, s.5. 5. Head office The head office and chief place of business of the corporation shall be at Charlottetown in Queens County in the Province of Prince Edward Island. 1975, c.48, s.6. 6. Membership of corporation The corporation shall consist of the persons named in section 2 who are members in good standing of the corporation, together with all other persons who, with the approval of the board of directors, become members of the corporation. 1975, c.48, s.7. 7. Management of corporation: board of directors The corporation shall be managed by a board of not less than five nor more than nine directors, a majority in number of whom shall constitute a quorum, who shall be elected at Page 4 Current to: November 1, 2003 t c Institute of Man and Resources Act Section 8 the annual meeting of the members to be held on such day as is fixed by the bylaws of the corporation. 1975, c.48, s.8. 8. Limitation of liability The members of the corporation shall not, as such, be held responsible for any act, default, or liability whatsoever of the corporation under any engagement, claim, payment, loss, injury, damage, transaction, matter or thing in relation to or connection with the corporation. 1975, c.48, s.9. 9. Regulations and bylaws The corporation may make such regulations and bylaws as are necessary for the internal organization, operation and conduct of the affairs of the corporation. 1975, c.48, s.10. 10. One vote per member At all meetings of the members, each member shall be entitled to one vote. 1975, c.48, s.11. 11. Application of Companies Act The Companies Act applies to and shall be read as a part of this Act insofar as it is not inconsistent therewith. 1975, c.48, s.12. 12. Distribution of surplus on dissolution In the event of the dissolution of the corporation then all of the surplus assets of the corporation shall be disposed of to another recognized charitable organization in the Province of Prince Edward Island or elsewhere in Canada having similar objects and purposes as the Institute. 1975, c.48, s.13. c t Current to: November 1, 2003 Page 5
