1 WESTERN DEVELOPMENT MUSEUM c W-12 The Western Development Museum Act being Chapter W‑12 of The Revised Statutes of Saskatchewan, 1978 (effective February 26, 1979) as amended by the Statutes of Saskatchewan, 1979, c 82; 1979‑80, c 46; 1983, c 71; 1983‑84, c 34 and c 54; 2005, c 45; 2014, c E‑13.1; and 2015, c 21. Interpretation 2 In this Act: (a) “board” means The Western Development Museum Board mentioned in section 3; (b) “fund” means The Western Development Museum Fund mentioned in section 15; (c) “minister” means the member of the Executive Council to whom for the time being is assigned the administration of this Act. RSS 1978, c W‑12, s 2. Board continued 3(1) The Western Development Museum Board, consisting of not less than three persons who shall be appointed by the Lieutenant Governor in Council, is continued. (2) The board shall be a body corporate. (3) The headquarters of the board shall be at the city of Saskatoon. RSS 1978, c W‑12, s 3; 1979‑80, c 46, s 3; 1983, c 71, s 3. Term of office 4(1) Each member of the board holds office for a term not exceeding three years and until his or her successor is appointed, but may at any time be removed for cause by the Lieutenant Governor in Council. (2) A member of the board is eligible for reappointment. (3) Upon a vacancy occurring in the board the Lieutenant Governor in Council may appoint a person to fill the vacancy for the balance of the unexpired term. Chairperson, vice-chairperson and secretary 5(1) The Lieutenant Governor in Council shall appoint one of the board members as chairperson, and the board members shall choose one of their number to be vice‑chairperson and one of their number to be secretary. (2) The chairperson shall sign all contracts, agreements, orders, rules and other documents whatever on behalf of the board. 4 c W-12 WESTERN DEVELOPMENT MUSEUM (3) The chairperson may delegate his or her powers and duties or any of them to the vice‑chairperson or the secretary. (4) The vice‑chairperson may exercise such powers and shall perform such duties of the chairperson as may be delegated to him or her by the chairperson, and in the absence of the chairperson may exercise all the powers and shall perform all the duties of the chairperson. (5) The secretary shall be the executive officer of the board and shall perform such duties as may be assigned to him or her by the board, and may exercise such powers and shall perform such duties of the chairperson as may be delegated to him or her by the chairperson. Remuneration of members 6 Each member of the board shall be paid any remuneration for his services and allowances for travelling and other expenses that may be determined by the Lieutenant Governor in Council. 1979, c 82, s 3. Meetings 7 The board shall meet at such times and places as the chairperson may appoint, but not less than twice in each year. RSS 1978, c W‑12, s 7; 2015, c 21, s 64. Administration of Act 8 The Act shall be administered by the board and in the performance of the duties and exercise of the powers imposed or conferred upon the board by or pursuant to this Act the board shall be responsible to the minister. RSS 1978, c W‑12, s 8. Executive committee 9(1) The board may appoint from the members of the board an executive committee consisting of not less than three nor more than five members. (2) The members of the executive committee shall hold office for such term as may be determined by the board. (3) The executive committee may, in any case where the chairperson certifies that it is not convenient for the board to meet, perform the duties and exercise the powers of the board. Appointments by board 10 The board may appoint such professional, technical and other officers and such assistants as may be required for the purposes of this Act and may determine their salaries and other remuneration. RSS 1978, c W‑12, s 10. 5 WESTERN DEVELOPMENT MUSEUM c W-12 Executive director 10.1 Any person appointed as an executive director pursuant to section 10 shall have the power to enter into any agreements or contracts on behalf of the board that are confirmed by a resolution of the board. 1979, c 82, s 4. Objects of board 11 The board shall endeavour: (a) to procure by gift, donation, devise, bequest or loan wherever possible, and by purchase where necessary and desirable, tools, machinery, implements, engines, devices and other goods and chattels of historical value and importance connected with the economic and cultural development of western Canada; (b) to collect, arrange, catalogue, recondition, preserve and exhibit to the public, the tools, machinery, implements, engines, devices and other goods and chattels referred to in clause (a); (c) to stimulate interest in the history of the economic and cultural development of western Canada; (d) to co‑operate with organizations having similar objects. RSS 1978, c W‑12, s 11. Power to acquire property 12(1) The board may acquire personal property necessary for its purposes and may sell or otherwise dispose of any personal property acquired by it. (2) Subject to the approval of the Lieutenant Governor in Council, the board may acquire real property necessary for its purposes and sell, lease or otherwise dispose of any real property acquired by it. Power to borrow money 13 Subject to the approval of the Lieutenant Governor in Council, the board may borrow any sum of money that it considers necessary to fulfill its objects. 1983, c 71, s 5. General powers 14 The board may exercise all other powers necessary for the proper administration of this Act. RSS 1978, c W‑12, s 14. Fund 15 There shall be a fund to be known as The Western Development Museum Fund to which shall be credited all moneys appropriated by the Legislature for the purposes of this Act and all other moneys received by the board by way of grant, gift, bequest, donation or otherwise for the purposes of this Act. RSS 1978, c W‑12, s 15. 6 c W-12 WESTERN DEVELOPMENT MUSEUM Disbursements from fund 16 The board may, subject to the provisions of this Act and any orders that may be made and any directives that may be issued by Treasury Board, make disbursements from the fund for: (a) the payment of the salaries of all persons appointed by the board pursuant to this Act; (b) the payment of all sums of money required by the board for the carrying out of its duties and the exercise of its powers under this Act, including all expenses necessarily incurred in connection therewith; and (c) such other payments as may be authorized by this Act or the regulations. Power to accept gifts 17 The board may accept and receive gifts, devises and bequests for the purposes of the board, and subject to the terms of any trust imposed by the testator or donor of, may sell, lease, convey or otherwise dispose of and convert into money real and personal property given, devised or bequeathed for those purposes. Financial assistance 18 The board may enter into agreements with any board, council, foundation or other agency established for the purpose of carrying out objects similar to those of the board, and may accept such financial assistance as may be made available to it, directly or through the Government of Saskatchewan, by such board, council, foundation or other agency. RSS 1978, c W‑12, s 18. Audit 19 The records and accounts of the board shall be subject to the audit of the Provincial Auditor. RSS 1978, c W‑12, s 19. Associate members of board 20 The board may issue associate memberships to persons desirous of supporting the objects of the board and may prescribe the fees payable by such members, but except where associate members are also members of the board they shall enjoy no executive powers. RSS 1978, c W‑12, s 20. 7 WESTERN DEVELOPMENT MUSEUM c W-12 Annual report 21(1) The board shall, in each fiscal year, in accordance with section 13 of The Executive Government Administration Act submit to the Lieutenant Governor in Council: (a) a report of the board upon its business for the immediately preceding fiscal year; and (b) a financial statement showing the business of the board for the fiscal year mentioned in clause (a) in such form as may be required by Treasury Board. (2) The report and statement required by subsection (1) shall be laid before the Legislative Assembly in accordance with section 13 of The Executive Government Administration Act. Regulations 22 The Lieutenant Governor in Council may make regulations for the purpose of carrying out the provisions of this Act according to their true intent.
