About this statute

This law creates the simplified stock company (sociedad por acciones simplificada). A simplified joint-stock company may be formed by one or more natural or legal persons, and shareholders are generally liable only up to the amount of their contributions. Una sociedad por acciones simplificada inscrita en el Registro Mercantil pasa a ser una persona jurídica distinta de sus accionistas. A simplified joint-stock company is always commercial, whatever its business purpose, and for tax purposes it follows the rules that apply to corporations. A simplified joint stock company may not register its issued shares or other securities in the National Registry of Securities and Issuers, and it may not trade them on the stock exchange.
