Statute overview

About this statute

This preamble says the Capital Markets Act applies to capital-market actors and conduct, and lists EU directives and regulations the Act implements or reproduces for practical reasons. This section mainly defines market and securities terms, and it prohibits companies from treating current or former employees badly because they reported breaches. It also creates a prospectus exemption for small offers and gives Finanstilsynet and the minister certain powers. Section 42 sets rules for takeover offers, qualified holdings and supervision by Finanstilsynet.
