This provision says the law applies to all business enterprises, defines when a business counts as commercial, and requires certain companies to prepare annual accounts, group accounts, management reports, and sign-off statements each financial year unless specific exceptions apply. Section 14 defines “annual report” and says covered enterprises must prepare one unless exempt, while a report made only for internal use is not an annual report. This section sets out when certain companies may avoid filing an annual report, what minimum accounting class they must follow instead, and when exemption statements or filings are required. When the annual report has been prepared, the responsible management members must sign and date it, and usually attach their signature to a management statement with required declarations.
