About this statute

The foundation’s board appoints the general director. The general director may attend board meetings with voice but no vote, and the post cannot be held together with membership of the board. The board must appoint a secretary. The secretary may be a board member or not; if they are, they may speak but not vote, and they certify the foundation’s agreements.
