About this statute

The new Companies Act enters into force on 1 September 2006 and repeals the old Companies Act and its introductory act. Regeln om minimikapital för privata aktiebolag gäller inte för ett tidigare registrerat bolag med aktiekapital under 2 500 euro när den nya lagen träder i kraft, och bolaget får inte besluta om sänkning om det skulle göra aktiekapitalet lägre än 2 500 euro. Old law applies to company formation and registration if the memorandum of association was signed before the new law starts, except where this law says otherwise. Companies must register changes to articles of association that conflict with the new law, and the registration authority may attach a fine. Bolaget får ha aktiekapital och nominella belopp angivna i finska mark om stiftelseurkunden undertecknades före 1 januari 2002.
