Statute overview

About this statute

This provision is the preamble of an amending law; it states that the law changes specified articles of the 1915 companies law and the 1945 decree on agricultural associations. Shareholders may be excluded from the company only for breach of contract, and the general meeting may decide exclusions, admissions, and payment withdrawals. Associés can always withdraw, subject to any conditions in the articles; they may resign only during the first six months of the financial year. A resigning or excluded associate cannot force the company into liquidation and is generally limited to the nominal value of their shares, unless the statutes say otherwise. Heirs may notify the committee within six months to name a replacement for a deceased associate; associates may withdraw from the association; and certain heirs or former associates cannot trigger dissolution, division, or liquidation.
