Statute overview

About this statute

This is the preamble to a Luxembourg law of 20 June 2020 on extending measures about holding meetings in companies and other legal entities. A company may hold meetings without a physical meeting and may require participation by written/electronic vote, videoconference, telecom, or proxy. It must publish and, if needed, notify a reconvened meeting decision by the third working day before the meeting. A nonprofit association may convene a general meeting to deliberate on the matters covered by Article 4(3), even if its bylaws say otherwise and regardless of the expected number of participants, provided the meeting date is no later than 30 September 2020. The deadlines in article 25(3) and article 27 are extended by three months. For the 2020 general meeting of the Order of Chartered Accountants, the meeting may be convened no later than 30 September 2020.
