R H O D A s h al l h av e a l eg al personality, administrative and financial autonomy and it shall be governed in accordance with laws governing organs of public service. Arti cl e 2 : H ea d q u a rters o f RHODA The headquarters of RHODA is situated in Kigali City, the Capital of the Republic of Rwanda. The headquarters of RHODA may be transferred elsewhere in Rwanda, when deemed necessary. Article 3: Missions de RHODA RHODA a pour attribution générale d ’ a s s u r e r l a p r o m o t i o n d e l’horticulture, d’aider à l’augmentation sa valeur ajoutée et d’assurer la transformation et la commercialisation de ses produits. There shall be concluded, between the Ministry and the Board of Directors, a contract of performance i ndi cat i ng powers, ri ght s and responsibilities of each party in fulfilling the responsibilities of RHODA. Il est conclu, entre ce M i n i s t è r e e t l e C o n s e i l d’Administration, un contrat de performance déterminant les pouvoirs, les droits et les obligations de chaque partie en vue de la réalisation de la mission de RHODA. Ingingo ya 7: Inama y’Ubuyobozi ya RHODA, ishyirwaho na manda z’abayigize Article 7: Board of Directors of RHODA, appointment and term of office of its members Article 7: board of Directors of RHODA, appointment and term Management organ of RHODA The Board of Directors of RHODA is the authority which directs RHODA and which is responsible for taking decisions. It shall have full powers and responsi bi l i t y t o m anage RHODA’s resources in order for it to fulfil its responsibilities. A Prime Minister’s Order shall appoint seven (7) members of the Board of Directors including the t h e V i c e - C h a i r p e r s o n a n d Chairperson. At least thirty percent (30%) of the members of the Board of Directors shall be women. Members of the Board of Directors shall have a term of three (3) years which may be renewable only once. Article 7: Conseil d’Administration de RHODA, nomination et mandat de ses membres Le Conseil d’Administration de RHODA est l’organe d’administration et de décision. Il est investi des pouvoirs étendus et de la mission d’assurer la gestion du patrimoine de RHODA en vue de la réalisation de sa mission. Un Arrêté du Premier Ministre nomme s ep t (7 ) m em b res d u C o n s ei l d’Administration parmi lesquels figurent son Président et son Vice- Président. Trente pour cent (30%) au moins des membres du Conseil d’Adm i ni s t rat i on s ont de s exe féminin. L e s m e m b r e s d u C o n s e i l d’Administration sont désignés pour u n m a n d a t d e t r o i s ( 3 ) a n s renouvelable une seule fois. Ingingo ya 8: Inshingano z’Inama y’Ubuyobozi ya RHODA Article 8: Responsibilities of the Board of Directors of RHODA Article 8: Attributions du Conseil d’Administration de RHODA Article 8: Responsibilities of the Board of Directors of RHODA The responsibilities of the Board of Directors of RHODA are as follows: 1° to provide the strategic la recherche des marchés pour les produits horticoles plus particulièrement les marchés internationaux; établir un partenariat avec les 8° coopératives agricoles, les horticulteurs et les unités de transformation des produits horticoles à travers des formations et des conseils à leur intention; établir des relations et 9° collaborer avec d’autres institutions ayant des attributions similaires au niveau régional ou international. The invitation is done in writing which is transmitted at least fifteen (15) days before it is held. However, an extraordinary meeting shall be convened in writing at least five (5) days before it is held. Some of the items to be considered in the first UARTER of the year shall include approval of the activity report and in the previous year; in the third quarter, there shall be included the examination of the draft of the annual Budget proposal and the plan of action of the following year. At every quarter the Board of Directors s h al l co n s i d er t h e fi n an ci al an d activity report of the previous quarter which shall be submitted transmitted to the Minister supervising RHODA.
