Ingingo ya mbere: Article One: Article premier : Iri tegeko rigena inshingano, imiterere n’imikorere by’Ikigega cy’Imari yo Gusana Imihanda, cyitwa “Fonds d’Entretien Routier” FER mu magambo ahinnye y’igifaransa. This Law determines the attributions, structure and functioning of the Road Maintenance Fund referred to as ‘‘Fonds d’Entretien Routier’’ abbreviated as FER in French. La présente loi porte attributions, organisation et fonctionnement du Fonds d’Entretien Routier « FER » en abrégé. FER has a legal personality and administrative and management autonomy, it shall be governed in accordance with laws governing public service. Ingingo ya 2: Article 2: Article 2 : Icyicaro cya FER kiri mu Mujyi wa Kigali, Umurwa Mukuru wa Repubulika y’u Rwanda. Gishobora kwimurirwa ahandi hose mu Rwanda igihe bibaye ngombwa. The headquarters of the Road Maintenance Fund shall be in Kigali City. It may be transferred elsewhere in Rwanda if considered necessary. FER may open branches elsewhere in the country by an Order of the Prime Minister, in order to fulfil its responsibilities. The Ministry and the Board of Directors shall sign a contract of performance indicating powers, rights and responsibilities of each party in fulfilling the responsibilities of FER. Such a contract shall be valid for a period of the term of office of the members of the Board of Directors and it shall be signed by the Chairperson of the Board of Directors and the Minister in charge of Roads. The meeting of the Board of Directors of FER will be held once every three months and at any time considered necessary after it is convened by its Chairperson or its Vice Chairperson, in case of absence of its Chairperson, at own initiative, or upon proposal in writing by a third (1/3) of its members. The invitation shall be submitted in writing to the Board of Directors at least fifteen (15) days before the meeting is held. Ingingo ya 10 : Article 10: Article 10 : Inama y’Ubuyobozi ishobora gutumira mu nama yayo umuntu wese ibona ashobora kuyungura inama ku ngingo ifite ku murongo w’ibyigwa. Uwatumiwe ntiyemerewe gutora no gukurikira iyigwa ry’izindi ngingo ziri ku murongo w’ibyigwa. runaka The Board of Directors may, where necessary, invite to its meeting, any person from whom it may seek advice on a certain issue on the agenda. The invitee has no voting right and is not allowed to follow the debates of other issues on the agenda. Le Conseil d’Administration peut, dans sa réunion, consulter toute personne qu’il juge compétente pour l’examen d’un point inscrit à l’ordre du jour. La personne invitée n’a pas de voix délibérative et n’est pas autorisée à participer aux débats concernant les autres points figurant à l’ordre du jour.

Kopi y’inyandikomvugo yohererezwa Minisitiri ureberera FER mu gihe kitarenze iminsi cumi n’itanu (15) guhera umunsi yemerejweho. The resolutions of the meeting of the Board of Directors shall be signed by its members immediately after the meeting and a copy shall be sent to the Minister supervising FER in a period not exceeding five (5) days in order to give his or her views in a period not exceeding fifteen (15) days from its reception. If the Minister does not raise any issue in respect of the decisions of the Board within the prescribed period, such decisions shall be final and binding. The minutes of the meeting shall be signed by the chairperson and rapporteur, and shall be approved in the next session. The copy of the minutes shall be sent to the Minister supervising FER in a period not exceeding fifteen (15) days from the day of its approval. Les résolutions du Conseil d’Administration sont immédiatement signées par les membres présents à la séance et transmises au Ministre de tutelle de FER dans un délai ne dépassant pas cinq (5) jours pour avis et considérations endéans quinze (15) jours à dater de leur réception. Le procès verbal de la réunion du Conseil d’Administration est conjointement signé par son Président et son rapporteur et soumis à la séance suivante pour approbation. Une copie du procès verbal est envoyée au Ministre de tutelle de FER dans un délai ne dépassant pas quinze (15) jours à compter du jour de son approbation.

The members of the Board of Directors or companies in which they are shareholders are not allowed to perform any remunerated activity in FER or to bid for FER funded tenders. Il est interdit aux membres du Conseil d’Administration et aux sociétés dont ils sont des associés d’exercer des fonctions rémunérées au sein de FER ou de soumissionner pour un marché financé par FER.
