§ 1This Act may be cited as the Business Activities Registration ActShort title

This section gives the Act its short title and says it starts when the Minister appoints a commencement date by notice in the Gazette.

In this Act. unless the context otherwise rcquircs- "A c t" means the Business Activities Registration Act. 2007; "auxiliary busincss” means any business not specified in a business registration which may be lawfully carried on under such registration: “ B R l:L A ,'mcans a Business Registrations and Licensing Agency: “ busincss‘*mcans any form of trade, commerce, craftsmanship or specified profession carried on for profit, gain and to which the provisions of this Act apply: Short title and c o m m e ­ ncement Application Interpre­ tation 61 No. 1 Business Activities Registration 2007 “ Business Registration Centre" means a centre established in local authority for the purpose of business activities registration; "business registration" means the process of registering business undertaking, business entity, enterprise, w ith a Registrar in a designated Local Authority in accordance with the provisions of this Act: “ business registration system’* means the business registration system established under section 8 of this Act: “ certificate o f compliance" means a certificate issued by a relevant licensing authority body to a business owner proving that the business complies with the relevant law governing that business; "certificate o f registration" means a certificate issued under section I A of this Acl: “ Chief Registrar" means the officer designated to be Chief Registrar under section 5 o f this Act; “ core activity" means the main activity of that business: “ company’' means a company incorporated under the Companies Act. or incorporated outside Mainland Tanzania and authorized by that Act to cany on business or to have a registered office in Mainland Tanzania: “ inspector" means an officer appointed by the Minister under section 26 of this Act: “ local authority" means local government authority established under the Local Government (District Authorities) Act. or the I .oeal Government (Urban Authorities) Act; “ Main Registry” means the registry established under seetion 6; “ Minister" means the Minister responsible for trade; “ public servant" has the meaning ascribed to it under the Public Service Act: "publish" means the publication o f information relating to the Business Registers in either electronic form or through printed material to all ministries and to the general public: Cap 2X7 and l ap 2SX Cap 298 “ Registrar” means a public officer appointed under section 9 of the Act in each local authorityjurisdiction; ‘‘Registry’' means the registry established under section 10 of this Act; “ regulated business" means a business regulated under any written law. 62 No. 1 H i is in ess A cfivilies Registration 2007 P A R T II I n s t i t u t i o n a l A r r a n g e m e n t
§ 4The Minister shall, in relation to the powers and functions o f localProvision

The Minister must make policy and regulatory rules for local authorities, oversee their compliance, provide technical support, and help them carry out their functions while respecting their autonomy.

4. The Minister shall, in relation to the powers and functions o f local authorities conferred under this Act- Role of Minister (a) formulate a national policy and regulatory framework for local authorities in relation to business registration system; /M coordinate mid monitor the pcrlbrnmmcc o f local authorities for compliance \\ ith national policies, guidelines and standards: (c) provide the necessary technical support or assistance to local authorities for the implementation of the respective functions; (d) facilitate the exercise of powers and the discharge of functions in a manner that gives due recognition to the autonomy of local authorities.
§ 5( I ) The Chief Executive Officer of B R E E A is hereby designatedProvision

The Chief Executive Officer of BREEA is designated as the Chief Registrar, who must receive quarterly business registers, maintain one composite register, publish the composite registers quarterly within three months after each quarter, and ensure minimum registry standards are kept by each local Registrar.

5.-( I ) The Chief Executive Officer of B R E E A is hereby designated to be the Chief Registrar of business. (2) The functions of the Chief Registrar shall be- Designa­ tion anil functions o f the Chief Registrar (a) to receive qurtcrly updated registers of businesses from the Registrars of each local authority: (b) to establish and maintain one composite register of all businesses registered under this Acl: (c) to publish quarterly the composite registers of all Business Registration ( enters within three months after the end o f the quarter: and (d) to ensure that each Registrar maintains minimum acceptable standards o f the registry in his jurisdiction.
§ 6( I ) There is hereby established a main Registry which shall linkProvision

A main Registry is established, the Minister must keep it maintained to best-practice standards, and each local authority must establish a Business Registration Centre.

6.-( I ) There is hereby established a main Registry which shall link with the registries under the Companies Act. the Business Names (Registration) Act and any other registry or data base which may be integrated under this Acl. § 8The functions o f the Business Registration Centre shall bcProvision

The Business Registration Centre must carry out business registration, maintain and publish business information, give guidance to the public, and report to the Chief Registrar.

8. The functions o f the Business Registration Centre shall bc- (a) to register all businesses undertakings, business entities and enterprises in the area o f its jurisdiction: (b) to collect business information in the area of its jurisdiction for the purpose o f public consumption; (c) to ensure all business information eollccted is available for the purpose o f public record: (d) to provide information and guidance to the public on the manner in. and extent to which businesses are to comply with legislation and regulations applicable to them; • (e) to provide information regarding services provided by the Government and other agencies to businesses including but not limited to training programmes, skills access in the form of technical advice and business development services, and the provisions ol trading and operational facilities such as hawker stalls and industrial parks: (f) to provide a facility which may, as far as possible, be in a form similar to a website where any registered business may be entitled to place advertisements at a fee determined by the local authority with the approval of the Minister; (g) to provide a registry o f information on all businesses operating within the area of its jurisdiction and ensure accessibility of such information to all branches and agencies of the Government and to all businesses: 64 No. 1 Business Activities Registration 2007 (h) to submit quarterly reports within three months after the end of the quarter to the Chief Registrar: (i) to de-register businesses as and when necessary as provided for in this Act: (j) to publish the current register o f all businesses registered in the area of his jurisdiction.
§ 9( I ) There shall be in each Business Registration Centre a RegistrarProvision

Each Business Registration Centre must have a Registrar, appointed by the Minister responsible for local government.

9.-( I ) There shall be in each Business Registration Centre a Registrar who shall be appointed by the Minister responsible for local government. (2) The Registrar shall be the head of the Business Registration Centre. (3) The Registrar shall be answerable to the Chief Registrar on all matters concerning administration of this Acl. (2) Any business which is not regulated under any written law shall upon application be issued with certificate o f registration. Compli­ ance In regulated and unregu­ lated business (3) Each Registrar shall notify the Chief Registrar on each regulated business that has been licensed to undertake any specified business by the respective Regulator} body. (4) The owner, manager or person in-charge holding a valid certificate of compliance with the regulated business has no obligation to obtain a ccrtificatc of registration. § 12( 1) Any person who wishes to register a business o f any localProvision

A person who wants to register a business of a local authority area must apply to the Business Registration Centre in the prescribed form, and the application must be signed as required by the Act.

12.-( 1) Any person who wishes to register a business o f any local authority within the area of jurisdiction shall make an application for registration to the Business Registration Centre in such form as may be prescribed. (2) livery application under this section shall be signed in the manner and by such person or persons as required under this Act.

§ 13Every application for business registration under this Act shallCommencement

A business registration application must include specified details about the business, its owners, activities, contact details, compliance status, and tax identification number.

13. Every application for business registration under this Act shall contain the following information— (a) the name o f the business: (b) the date o f commencement of the business; (c) the name of the owner or owners of the business; (d) whether the owner is a firm, a corporate entity or a natural person: (e) if the owner is a Hi m. the partners, thereof: ( f) nationality o f the o\\ ncr: (g) if the owner is a corporate entity, the registration number and date of registration of the company; (h) whether the owner o f the business has been registered in terms of section 4 of the Business Names (Registration) Act the name under which it was registered: (i) in the case of a subsidiary business, the name and location of the head office: (j) the nature of the core activity of the business; (k) the nature o f any auxiliary activity; (I) the number o f employees in the business and i f the business has more than one branch, in each such branch: (m) the physical and postal address of the business: 66 No. 1 Bus in css A cl i vities Reg is! rut ion 2007 (n) the telephone and telefax number or e-mail and website addresses of the business, if any; (o) the chief executive officer or other person in charge of the management o f the business: (p) the extent to which, if any, that business has been granted an applicable certificate of compliance or authorization to trade or operate: and (q) the l ax Identification Number (T IN ) of business.

§ 14( I ) Upon receipt of the application, the Registrar shall cause theProvision

After an application is received, the Registrar must register the business activity and issue a certificate of registration. The Chief Registrar or Registrar may refuse registration if section 13 requirements are not met, and must give reasons for refusal.

14. ( I ) Upon receipt of the application, the Registrar shall cause the business activity to be registered in the prescribed form and shall issue to the applicant a ccrtillcatc of registration in the form set out in the Schedule Kcjiislra- I ion to this Acl. (2) Where the C hief Registrar or Registrar is not satisfied with compliance of the requirements set out under section 13. he may refuse to grant application for registration business and give reasons for refusal.

No one is entitled to carry on a business in violation of the laws or regulations that govern that business.

Nothing in this Act shall entitle any person to carry on business or business to be conducted in contravention o f any law or regulation governing activities of that business, including but not limited to (a) town planning regulations: (b) health regulations: (c) safety regulations:. A person with a certificate of registration must display it prominently at the business premises, and local authorities or other persons may not issue business licences, permits, or authorizations unless written law allows it.

§ 19(I ) The Registrar may suspend, revoke or cancel a certificate ofOffence

The Registrar may suspend, revoke, or cancel a certificate of registration if certain conditions are met, and the affected person must surrender the certificate to the Registrar.

19.-(I ) The Registrar may suspend, revoke or cancel a certificate of registration issued under this Act if he is satisfied that (a) the premises has ceased to be used for the purpose lor which the certificate o f registration was issued: (b) the business owner, manager or person in-charge has, since the certificate o f registration was issued, been convicted of any offence against the provisions of this Acl or any regulations made thereunder: (c) the business owner has become bankrupt or if a company, has gone into liquidation: or (d) the business has failed to comply with any condition of the certificate o f registration. Notifica­ tion of intention to de- register (2) A person whose certificate o f registration has been suspended, revoked or cancelled under this Act shall be required to surrender that certificate to the Registrar.

The Registrar must give notice of an intention to de-register a business if the Registrar is satisfied the business is non-compliant, no longer trading, liquidated, or registered using false information.

20. The Registrar shall, where he is satisfied that the business owner, manager or a person in-charge o f business (a) does not comply w ith any law specifically governing activities of that type o f business or the business has been liquidated or is no longer trading: or 68 No. 1 Business Activities Registration 2007 (b) furnished false information in the application for registration, serve a notice o f the intention to de-register to such owner, manager or as the case may be. the person in-charge of the business.

§ 21(1) Any person w ho is served w ith a notification under section 20Provision

A person notified under section 20 must be allowed to appear and make representations about proposed deregistration, and the Registrar must consider them. If the Registrar deregisters a business, the Registrar must notify the owner, manager, or other person in charge in writing within 30 days.

21. (1) Any person w ho is served w ith a notification under section 20 shall be given an apportunity of appearing and making representation relevant to the proposed de-registration to the Registrar, and the Registrar shall consider such representations and decide accordingly. § 22( I ) Any person who is aggrieved byProvision

A person aggrieved by certain registration decisions may appeal first to the District Commissioner within 60 days, then to the Minister within 30 days from the District Commissioner’s decision; appeals must be in writing, and a Registrar’s suspension, revocation, or cancellation does not take effect until the appeal period ends or any appeal is decided.

22. ( I ) Any person who is aggrieved by- Appeal la) suspension, revocation orconcellation ol'a registration certificate: (b) refusal of the Registrar to issue certificate of Registration: (c) de-registration: may. within sixty days from the dale of the decision, appeal to the District Commissioner. (2) Where the Registrar suspend, revoke or cancel the registration certificate that suspension, revocation or cancellation shall not lake effect until the period within w hich an appeal against suspension, revocation or cancellation may be made to ihe District Commissioner has elapsed or, if the appeal has been made, until that appeal has been heard and determined. (3) A person who is aggrieved by the decision of the District Commissioner may, within thirty days from the dale ofthc decision, appeal to the Minister. ( I) Kvery appeal made under this section shall be in writing.

§ 23(I) The Minister shall, by Order published in Gazette, appointProvision

The Minister must appoint public officers to the Appeals Committee by Gazette order. The Appeals Committee must advise the Minister on complaints about decisions of the Chief Registrar or Registrar. A person aggrieved by the Minister’s decision may appeal to the High Court within 30 days.

23. (I) The Minister shall, by Order published in Gazette, appoint such number of public officers to be members ofthc Appeals Committee. § 24The owner, manager or any other person who is in-charge of aProvision

A business owner, manager, or other person in charge must notify the local authority Registrar when the business stops operating, enters liquidation, changes premises, changes core activities, or loses/damages its registration certificate.

24. The Minister responsible for local government must appoint inspectors from local authority officers, and their appointment must be published in the Gazette.

26. ( I ) The Minister responsible for local government shall, appoint such number of officers ofthc local authority to be inspectors for the purposes of this Acl. (2) Noticc of appointment of every inspector shall be published in the Gazette. § 28Any person whoOffence

Any person who carries on business without registration, gives false information, ignores applicable rules, operates outside the certificate location, or fails to surrender a suspended, revoked, or cancelled certificate commits an offence.

28. Any person who- ( )lTenee.s and Penalties (a) carries on business \\ itliout being registered under this Act: (b) provides false information at the time of registration: (c) conducts business without observing other legislation or regulations governing such activity: (d) carries on business at any place not specified in the certificate of registration; (c) fails to surrender certificate of registration which has been suspended, revoked or cancelled to Registrar. 71 No. 1 Business Activities Registration 2007 commits an olTcncc and upon conviction shall be liable- (i) in ease of a business with a turnover o f not exceeding twenty million shillings per annum, to a fine o f not less than fifty thousand shillings but not exceeding one hundred thousand shillings; and (ii) in ease of a business with a turnover exceeding twenty million shillings per annum, to a fine of not less than two hundred thousand shillings but not exceeding live hundred thousand shillings.

§ 29Where the Registrar suspends, revokes or cancels a certificate ofProvision

If the Registrar suspends, revokes, or cancels a certificate of registration, the Chief Registrar must publish that action in the Gazette and inform the owner.

§ 32Notw ithstanding the repeal ol the Business Licensing Act, licencesRepeal

Licences and exemptions stay in force until a Minister-determined date, after which business owners must register their business under this Act.

32.
