About this statute
This section sets out how the Board of Directors is made up, who appoints members, how the Vice Chairman is chosen, and how members resign or leave office. A Board member who cannot attend a meeting may nominate someone else in writing to take their place for that meeting. The Minister may appoint a member. If a member leaves office early, the Minister must appoint someone else to fill the vacancy. The Chairman must convene ordinary and special Board meetings and send notice to each member at least 14 days in advance; the Vice Chairman may step in if the Chairman cannot act. This section sets the quorum and meeting procedure for the Board, including who presides, how decisions are made, and when a decision may be deferred to a meeting.
