The Board of Directors must include a Chairman, a Vice-Chairman, five members, and the Director General. When appointing the Chairman, Vice-Chairman, and members, the appointing authority must consider the listed qualifications. The Director General must serve as the Secretary of the Board. Board members, including the Chairman and Vice-Chairman, are appointed for fixed terms, may be re-appointed once, and any member may resign by written notice to the appointing authority. A Board member may cease from office at any time for incapacity, misconduct, absence from three consecutive meetings without reasonable excuse, or resignation. If a member misses three consecutive Board meetings without sufficient cause, the Board must notify the appointing authority, which may end the member’s appointment and appoint a replacement.

Section 1
If a member misses three consecutive Board meetings without sufficient cause, the Board must notify the appointing authority, which may end the member’s appointment and appoint a replacement.

The Board must meet quarterly. The Chairman normally convenes ordinary meetings and sends notice to each member at least 10 days before the meeting. The Vice-Chairman or Secretary may step in if the Chairman cannot act.

The Board must keep minutes of each meeting in proper form and confirm them at its next meeting.

Board members are to be paid fees and allowances set by the Board and approved by the Treasury Registrar.
