About this statute

The Trustees must have 7 to 10 members, including specified roles, with at least 3 women, and they must elect a Vice-Chairman from among their members. The Trustees must hold office for three years, unless their membership is terminated. An officer responsible for the Fund’s financial matters must attend Trustees’ meetings when management matters are discussed. A meeting of the Trustees has a quorum only if the Chairman or Vice-Chairman and at least four other Trustees are present. The Chairman must convene ordinary meetings of the Trustees and send notice and papers to each Trustee at least 15 days before the meeting. The Chairman, or the Vice-Chairman if the Chairman is absent, must convene an extraordinary meeting when at least four Trustees sign a written request. Trustees with an interest in a matter must disclose it and then not take part in deliberations or decisions on that matter. The Trustees may regulate their own proceedings.
