“The Institute’s management committee has the power to manage the Institute’s business and affairs and carry out its functions.”

The Institute’s management committee has the power to manage the Institute’s business and affairs and carry out its functions. The Institute’s Management Committee must include specified members, and the Minister must appoint the Committee’s Chairman and one member from the Tanzania Seed Trade Association. Members of the Management Committee serve for three years and may be re-appointed. Three committee members make a quorum, decisions are by simple majority of those present, each member has one vote, and the meeting chairman gets a casting vote if votes are equal. Minutes for each Management Committee meeting must be kept properly, confirmed at the next sitting, and signed by the meeting’s Chairperson.

2.–(1) The Management Committee of the Institute shall comprise of the following members- (a) one member from the Crop Development Division of the Ministry of Agriculture responsible for seed issues; 568 ©2025 Government of Tanzania. (2) The Minister shall appoint the Chairman of the Management Committee and one member from the Tanzania Seed Trade Association to be a member of the Management Committee.

4.–(1) Three members of the Management Committee shall constitute a quorum at any meeting and all decisions to be arrived at by the Management Committee shall be decided by a simple majority of the members present. (2) Each member of the Management Committee shall have one vote and in the event of equality of votes, the Chairman of the meeting shall have a second or casting vote in addition to his deliberative vote.

§ 5Functions of CommitteeProvision

Minutes for each Management Committee meeting must be kept properly, confirmed at the next sitting, and signed by the meeting’s Chairperson.

5. Minutes in proper form of each meeting of the Management Committee have to be properly kept and shall be confirmed by the Management Committee at its next sitting and signed by the Chairperson of the meeting.

The Management Committee may regulate its own meeting procedures and how it conducts its business.

§ 7Establishment of sub-committeesProvision

The Institute must carry out several seed-related duties and must not take part in seed-related trade or business.

7.–(1) The Institute shall have the following duties to- (a) conduct seed field inspections; (b) effect sampling and testing; (c) conduct seed inspections; (d) accredit seed sampling and seed testing laboratories; (e) charge fees or otherwise generate revenue from the services rendered; (f) ensure that the revenue accruing from the fees or any other charge guarantees sustainable and quality services; (g) train seed producers, seed inspectors and seed analysts; (h) liaise with other International Organisations such as the International Seed Testing Association on seed related issues; (i) carry out variety performance tests; and (j) carry out pre and post control tests. (2) The Institute shall not engage itself, directly or indirectly in any trade or business connected with the production, processing, importation, sale or distribution for sale of any seed. 569 ©2025 Government of Tanzania. § 8Seed inspector, sampler and analystProvision

The Minister must appoint the Chief Certification Officer, after consulting the Management Committee.

The Management Committee may appoint officers and employees, grant them pensions, gratuities and allowances, and appoint or employ agents and contractors when necessary.

9. The Management Committee may, appoint at such salaries and upon such terms and conditions such officers and employees, for the proper and efficient performance of the Institute’s functions and it may grant pensions gratuities and allowances to any officer or employee and appoint or employ agents and contractors as it may deem necessary.

§ 1011. Establishment of Seed Certification InstituteProvision

The Institute must have a Common Seal, and the Management Committee decides its shape, size, and form.

10.–(1) There shall be a Common Seal of the Institute which shall be of such shape, size and form as the Management Committee may determine. (2) The Seal of the Institute shall not be affixed to any instrument except in the presence of the Principal and one Management Committee member. Accounts and audit

§ 11Establishment of Seed Certification InstituteProvision

The Institute must keep proper accounting records, have them audited each financial year, and send audit-related copies to the Management Committee and the Minister.

11. The Institute shall keep and maintain proper books of accounts and records relating to its transactions in accordance with acceptable accounting standards- (a) the financial year of the Institute shall end on 30th June of Cap. 286 each year; (b) the books of accounts shall be audited at the end of each financial year by an authorised auditor duly registered under the Accountants and Auditors (Registration) Act, and the auditors shall be appointed by the Management Committee; (c) the accounts and reports of the auditors shall be submitted to the Management Committee not later than four months after the end of each financial year, and the Management Committee shall submit a copy of the audit report to the Institute within two months after they have been audited; and (d) the Institute shall submit a copy of the Institute’s Audit Report to the Minister. 570 ©2025 Government of Tanzania.
