The Board is made up of eight members appointed by the Minister, with specific categories for each seat. A Board member serves for three years and may be re-appointed for a second term. A casual vacancy is filled by the Minister. The Board must elect one of its members to be Vice-Chairman. The Board must hold ordinary meetings at least twice a year, and the Chairman can call special meetings. The Chairman must also call a special meeting within 20 days after a written request signed by at least four Board members. The Chairman or Vice-Chairman presides; if both are absent, the members present elect a Vice-Chairman for the meeting. The Board acts by resolution at meetings with a quorum; the Chairman may allow decisions by circulation, and members have voting and casting-vote rules.
