行政法人法

This Act is enacted to govern the establishment, organization, operation, supervision, and dissolution of administrative corporations, and to promote public interest by making their operations more efficient and flexible.

董（理）事會要定期開會；必要時可以開臨時會議，由董（理）事長召集並擔任主席。監事或常務監事應列席會議。

監事或監事會有權審核、監督及稽核公司的營運、財務與其他重大事項。

董（理）事和監事必須親自出席董（理）事會議、監事會議，不能委託他人代理出席。

兼任的董事（理事）和監事都是無給職。

行政法人首長原則上應為專任；其相關規章、年度營運（業務）計畫與預算、年度執行成果及決算報告書，應報請監督機關核定。

監督機關有權核定、備查、檢查、評鑑，並在違法時對行政法人或董監事採取處分。

監督機關應邀集相關機關代表、學者專家及社會公正人士，辦理行政法人績效評鑑；其評鑑方式、程序及其他相關事項，由監督機關訂定辦法。

This provision lists the contents of a performance evaluation.

行政法人要訂定發展目標、計畫，以及年度營運（業務）計畫和預算，並依規定報請監督機關處理。

行政法人 must in a certain time after fiscal year end have its annual results and final accounts audited and certified by an accountant, reviewed and approved by its board and supervisors, then filed with the supervisory authority and sent to the audit authority.

This provision defines “administrative corporation” and says it is established by law for specific public affairs outside the national and local governments. It also says an administrative corporation must be created under an individual organizational statute.

行政法人聘用的人員不是公務人員；其權利義務關係應在契約中明定。

改制為行政法人時，符合條件的繼續任用人員仍保有公務人員身分，相關人事事項原則上照原適用法令辦理。

不願隨同移轉行政法人的公務人員，可由主管機關協助安置；也可依退休、資遣規定辦理，並一次發給七個月俸給總額慰助金。

這條規定政府機關改制時，部分聘僱人員可領離職相關給付；不願隨同移轉行政法人者要在改制日離職，可能加發七個月月支報酬，並有公保年資損失補償的處理方式。

原機關駐衛警察在機關改制時，可由主管機關協助安置；若辦理退職或資遣，通常一次加發七個月月支薪津，但達屆齡退職者按提前退職月數發給。

原機關（構）工友在改制移轉時，可能由主管機關協助安置；若隨同移轉，則要依原退休、資遣法令辦理，且不加發七個月慰助金。

改制所需的慰助金與保險年資損失補償等費用，可以由原機關（構）、原基金或其上級機關在原預算範圍內調整支應，且不受預算法第62條及第63條限制。

People who were retired, severed, or left service because of agency or school restructuring and received an extra payment are not covered by this Act’s rules on extra consolation payment, monthly remuneration, or monthly salary.

原機關（構）改制為行政法人時，相關休職、停職及留職停薪人員隨同移轉的，要由原機關（構）列冊交由行政法人續辦。

原機關（構）依教育人員任用條例聘任的人員，準用第21條、第22條、第26條至前條的規定。

行政法人的監督機關是中央各目的事業主管機關，並由個別組織法律或通用性法律加以規定。

行政法人相關法律就現職員工權益保障事項，不得與本條列明的規定相牴觸；國防部及所屬聘用、僱用人員不適用前項限制。

行政法人的會計年度必須與政府會計年度一致。

行政法人要依相關準則訂定會計制度；其財務報表應委請會計師查核簽證。

行政法人成立年度的政府核撥經費，可以由原機關（構）或其上級機關在原預算範圍內調整。

這一條規定行政法人在改制、設立後及財產用途廢止時，公有財產的取得、使用、收益、移交與返還方式。

政府機關撥給行政法人的經費，應依法定預算程序辦理，並接受審計監督；若撥款超過行政法人當年度預算收入來源的50%，監督機關還要把年度預算書送立法院審議。

行政法人舉借的債務限於可自償者，並須先送監督機關核定。

行政法人辦理採購時，應遵守公開、公平原則，並依我國締結的條約或協定辦理。

行政法人要依規定公開相關資訊，並主動公開年度財務、營運和績效評鑑資料；監督機關要把績效評鑑分析報告送立法院備查，必要時立法院可要求相關人員到院報告並備詢。

不服行政法人之行政處分者，可以依訴願法向監督機關提起訴願。

行政法人 must draft internal personnel, accounting, internal control, audit, and other regulations, have them approved by the board, and report them to the supervising authority for filing. It may also make regulations for its public affairs, so long as they do not conflict with applicable laws or regulations, and must follow the same approval and filing steps.

行政法人在情事變更或績效不彰、已無法達成立設目的時，可在監督機關提請行政院同意後解散。

This provision says the law applies, mutatis mutandis, when certain central government agencies outside the Executive Yuan establish administrative legal persons, and it also allows special municipalities and counties/cities to adopt local bylaws and establish administrative legal persons for approved specific public affairs.

行政法人原則上要設董（理）事會，並設監事或監事會；但在一定情況下可不設董（理）事會而改置首長一人。

董（理）事、監事採任期制；補聘者只補足原任者剩餘任期。符合列舉情形者不得聘任，任內符合前項情形或無故連續三次不出席會議者，應解聘。

董（理）事、監事必須遵守利益迴避原則，不得利用職務上的權力、機會或方法圖謀自己或關係人的利益，也不得彼此具有特定親屬關係。

行政法人董（理）事、監事及其關係人原則上不得與所屬行政法人進行買賣、租賃、承攬等交易；有正當理由並經董（理）事會特別決議者，例外可為之。
