民法總則施行法

This provision says older civil matters are generally not governed by the Civil Code General Provisions or by later-amended rules, unless this implementing act specifically provides otherwise.

法人登記由法人事務所所在地的法院主管；法院應儘速公告已登記事項，並允許第三人抄錄或閱覽。

外國法人原則上不認許其成立，但法律另有規定的除外。

Recognized foreign juridical persons have the same legal capacity as domestic juridical persons, within legal limits, and must obey Taiwanese law on the same basis as domestic juridical persons.

外國法人在我國設事務所時，適用本條所列的民法總則規定。

法院在符合民法總則第三十六條所定情事時，可以撤銷依前條設立的外國法人事務所。

If an unrecognized foreign legal person acts in its own name with another party, the actor must be jointly and severally liable with that foreign legal person for that legal act.

符合條件的請求權，可在施行日起一年內行使；但若已超過法定時效期間的一半，則不適用。

第七十四條第二項、第九十條、第九十三條的撤銷權，適用前一條的規定。

This provision says that if a statutory limitation period was already completed before the Civil Code General Principles took effect, it remains completed. If the pre-existing limitation period was longer than the period set by the Civil Code General Principles, the old law applies, unless the remaining period counted from the effective date would be longer than the new period, in which case the new law applies from the effective date.

This provision sets when this implementing act and related amended provisions take effect.

Foreigners have legal capacity within the limits of law.

This provision says certain rules on missing persons and death declaration also apply to people who went missing before the Civil Code General Principles took effect, and to some people missing between commencement and amendment, with one exception.

本條規定：修正後的民法第12條、第13條自民國112年1月1日施行；符合條件者自該日起視為成年，且既有的部分權利或利益原則上可繼續保有至20歲。

This provision converts certain pre-existing interdiction and guardianship matters into guardianship-based treatment under the amended rules, with a three-month court-filing window in one case.

本條將「禁治產」或「禁治產人」在特定修正條文施行後，一律改稱為「監護」或「受監護宣告之人」。

民法總則第十四條至第十五條之二的規定，在公布後一年六個月開始施行。

If setting up a legal person requires permission and that permission was already obtained before the Civil Code general provisions took effect, the person may apply to register as a legal person within three months after commencement.

Certain pre-civil-code foundations and public-interest associations with separate assets are treated as juristic persons, and their representative must submit the required written statement for government review within six months after the Civil Code General Principles take effect.

If the authority approves the matter under the preceding article, the legal person’s representative must apply for registration within 20 days.

第六條所定之法人如果尚未備置財產目錄與社員名簿，應在民法總則施行後儘速編造。

第六條至第八條不適用於祠堂、寺廟，以及以養贍家族為目的之獨立財產。
