財團法人原住民族語言研究發展基金會設置條例

本條說明本條例是為辦理原住民族語言研究發展事項，並設置財團法人原住民族語言研究發展基金會。

This provision gives the board of directors authority over major governance matters, sets a regular meeting cycle every three months, allows special meetings in some cases, and requires quorum and majority approval for decisions.

監事會的職掌包括稽核基金與存款、審核業務與財務狀況、稽核財務帳冊文件及財產資料、審核決算表冊，以及處理其他重大事項的審核或稽核。

董事及監察人原則上是無給職，但董事長例外，屬專任有給職。

董事、監察人若有違法、重大不適任或其他特定不適任情形，主管機關應報請解聘；特定身分或狀態的人不得充任董事、監察人，已任者當然解任；董事、監察人並須遵守利益迴避，不得利用職務圖利自己或他人。

基金會設置一名執行長；由董事長經公開甄選後提請董事會聘任，任期三年，期滿得續聘。

本基金會的工作人員，除會計相關人員外，必須具備原住民族語言能力認證中級以上資格。

The foundation’s organizational structure and staff salaries must be approved by the board and then submitted to the competent authority for approval.

本基金會的會計年度應與政府的會計年度一致。

This foundation must prepare a work plan and budget before the fiscal year, submit them for board approval, and report them to the competent authority. It must also submit year-end results and income/expense final accounts within two months after year-end for board review, supervisory board audit, and reporting to the competent authority. Any surplus funds, except reserved items, must remain in the foundation fund.

主管機關依法律訂定本基金會捐助章程；章程變更時，由董事會先擬訂，再報請主管機關核定。

本基金會的設置依本條例規定；本條例未規定的事項，適用其他相關法律。

在符合特定情形時，主管機關可以解散本基金會；解散後，剩餘財產歸屬國庫。

本基金會的主管機關是原住民族委員會。

本基金會的創立基金為新臺幣二千萬元，由主管機關編列預算捐助。

董事、監察人的提名由主管機關向行政院院長提出；人選、代表比例、資格和任期都有要求。

董事或監察人因辭職、死亡或解聘而出缺時，主管機關應依前條規定補聘；補聘者的任期只到補足原任者剩餘任期為止。
