商業登記法

Business registration is governed by this Act.

This provision defines who counts as a “商業負責人” (business responsible person) for different business forms.

限制行為能力人經法定代理人允許獨立營業或作為合夥人申請登記時，應附送法定代理人同意書；法定代理人若撤銷允許或加以限制，還要把原因向商業所在地主管機關登記。

法定代理人若代無行為能力人或限制行為能力人經營已登記的商業，會被視為商業負責人，並須在15日內申請登記，登記時還要附上法定代理人證明文件。

經理人任免或調動發生後，應在15日內申請登記。

設有獨立帳簿的商業分支機構，應在設立後15日內向所在地主管機關申請登記；分支機構終止營業時，應在事實發生後15日內申請廢止登記。

登記事項變更時，原則上應在事實發生後15日內申請變更登記；因繼承而變更的，則應在繼承開始後6個月內辦理。中央主管機關並可訂定商業登記事項的申請程序、文件、資料及其他應遵守事項。

If a business moves outside the original registration authority’s area, it must apply to the authority in the new area for a relocation registration.

商業停業滿一個月以上時，停業前要先辦停業登記，復業前要再辦復業登記；停業期間原則上最長一年，但有正當理由並經商業所在地主管機關核准者不在此限。

商業終止營業時，應在事實發生日起15日內申請歇業登記。

所在地主管機關必須把商業的特定登記事項公告在資訊網站上，供人查閱。

This provision defines the competent authority at each government level and allows municipal and county/city governments to delegate or entrust some matters, with Ministry of Economic Affairs approval when necessary.

商業登記後，如果應登記事項未登記，或已登記事項變更後未辦理變更登記，不能拿該事項對抗善意第三人；分支機構所在地的情形，僅就該分支機構適用。

商業所在地主管機關在受理商業登記申請時，如認有違法或程序不合法，應在收文後五日內通知補正，且補正事項要一次通知完畢。

商業所在地主管機關辦理商業登記案件的期間，不得超過7日；前條所定的補正通知期間不計入。

商業登記後，申請人發現登記事項有錯誤或遺漏時，可以申請更正；必要時要檢附證明文件。

商業負責人可以向商業所在地主管機關申請，就已登記事項核發證明書。

商業負責人、合夥人或利害關係人可以說明理由後，向商業所在地主管機關申請查閱、抄錄或複製登記文件。

商業名稱可以用負責人姓名或其他名稱，但不能讓人誤認為與政府機關或公益團體有關；若以退夥合夥人的姓或姓名作為商業名稱，續用時須取得其同意。

商業在同一直轄市或縣（市）不得使用與已登記商業相同的名稱，也不得使用「公司」字樣；登記前要先申請核准並保留名稱。

If a business falls into one of the listed situations, the local competent authority may revoke or cancel its business registration, or part of it.

This provision defines “business” as an enterprise operated for profit as a sole proprietorship or partnership.

If the registration application contains false information, the business responsible person is fined NT$6,000 to NT$30,000.

未經設立登記卻以商業名義經營或為其他法律行為的人，主管機關應命其限期完成登記；逾期未辦妥者，會被處新臺幣1萬元以上5萬元以下罰鍰，並可能按次處罰。

有應登記事項卻未登記者，其商業負責人將被處新臺幣二千元以上一萬元以下罰鍰。

If the application for registration is filed after the deadline in Articles 12 to 15, the business responsible person is fined NT$1,000 to NT$5,000.

商業負責人或其從業人員不得規避、妨礙或拒絕商業所在地主管機關人員抽查；違反者，商業負責人會被處新臺幣6,000元以上、30,000元以下罰鍰。

商業所在地主管機關受理特定商業申請時應收費；停業、復業、歇業登記免繳登記費。

This article sets when the Act starts to apply: generally on promulgation date, with some specified amendments taking effect later or as determined by the Executive Yuan.

除第五條規定外，商業未經所在地主管機關登記，不得成立。

Certain small-scale businesses are exempt from applying for registration under this law.

某些商業業務若依法需要主管機關許可，必須先拿到許可文件，才能申請商業登記。

If a business violates laws or regulations and a final closure order has been confirmed, the disciplinary authority must notify the local competent authority to cancel the business registration or part of the registered items.

商業登記申請由商業負責人向商業所在地的主管機關提出；如果委託他人辦理，還要附上委託書。

商業開業前要先申請登記指定事項；主管機關可隨時派員抽查，負責人及從業人員不得規避、妨礙或拒絕。

商業在申請設立登記後，應參加由政府機關或指定非營利組織辦理的勞動權益講習；中央主管機關並應在其資訊網站註記是否已參加。
