中華電信股份有限公司條例

交通部依電信法第30條設立中華電信股份有限公司；其設置與管理依本條例，未規定部分適用其他法律。

本條規定電信總局改制前的現職人員，原則上轉調本公司；符合條件者可依意願報請留任或轉任，也可給予較優惠條件退休。

This provision sets who is treated as a public servant, how certain employees are governed by company personnel rules, which authority drafts those rules, and it bans discrimination based on hiring qualification differences.

本條規定部分員工可在五年內選擇改適用另一套規則；公司也要按規定辦理年終考成、退休給付提撥及退休準備金補足。

Certain identified personnel must have their salary grade reclassified six months before privatization, and the company sets the implementing rules.

Certain covered persons may receive compensation when moving to labor insurance and losing existing public employee insurance rights; if they later rejoin public employee insurance and receive an old-age benefit, they must repay the compensation.

本公司在籌資發行新股、出售公股及成立時提撥員工福利基金，並在前兩種情況下讓員工享有優惠優先承購或認購安排。

本條例的施行日期由行政院以命令決定。

本公司可以投資或經營電信相關業務，以及其他經交通部核准的業務。

本公司應以企業化方式經營，並以公平合理費率提供普遍、持續且穩定的高品質服務，同時推動電信科技研究與增進全民福祉。

本公司可以在國內外適當地點設立分支機構。

This provision sets the company’s board and supervisor headcounts, requires at least one-fifth of directors to be expert representatives, and allows public-shareholding shareholders to have the Ministry of Transportation appoint a natural person representative.

The listed matters must be reported to the Ministry of Transportation for approval.

The board of directors decides the company’s organizational rules, annual business policy, domestic and foreign branch establishment/changes/abolition, appointment and dismissal of deputy general managers, personnel rules, and materials management rules.

監察人負責調查公司業務及財務狀況，並查核公司帳冊及文件。

本公司財物的購置及定製，須由審計機關在事後進行審計。
