About this statute

After incorporation, donations, gifts or dispositions of land made to the association or its trustees shall take effect as if made to the incorporated corporate body. Corporate bodies must have a common seal with a device approved by the Minister; until provided the Minister may authorise another person's seal for use. Instruments bearing the common seal, when apparently used in accordance with directions, bind the corporate body despite defects in execution. Contracts made by trustees of a body or association are valid and binding even if not executed under the trustees' common seal. A person who, in good faith and relying on an instrument bearing a corporate common seal, makes or allows a transfer or payment is entitled to be indemnified and protected for that transfer or payment. Any person interested may apply to the High Court for its opinion when a question arises whether a person is a member of such a corporate body.
