48-2333 - Meetings of board of directors; minutes 48-2333 . Meetings of board of directors; minutes A. The board of directors shall hold a regular meeting in its office on the first Monday in March, June, September and December, and such special meetings as required for the transaction of business. If the day prescribed for a meeting is a legal holiday, the board shall meet on the Monday following the legal holiday. B. All special meetings shall be ordered by the president or a majority of the board by order entered in the minutes specifying the business to be transacted. Three days notice to any member not joining in the order shall be given by the secretary, and only the business specified in the order shall be transacted at the special meeting. C. All meetings of the board shall be public and a majority of the members shall constitute a quorum for the transaction of business. D. Minutes of all proceedings of the board shall be kept by the secretary and all records of the board shall be open to public inspection during business hours.
