Minnesota Statutes § 145D.31 - CERTAIN CONVERSION TRANSACTIONS PROHIBITED

A nonprofit health coverage entity must not enter into a conversion transaction when the transaction would leave public benefit assets below full and fair value or when specified insiders or their family members have prohibited ownership or compensation interests linked to the transfer.
