Missouri Revised Statutes § 351.1039 - Emergency powers and procedures
The board may use emergency procedures to change succession lines, move offices, relax board meeting notice rules, and treat officers as directors to make a quorum. Good-faith emergency action binds the cooperative and cannot be used as liability grounds for that action being unauthorized.
