§ 54-122. Absent members voting.

Absent shareholders may have a mailed written vote read at a shareholders’ meeting if they were notified in writing of the exact motion or resolution and the vote copy is attached. A member absent because of sickness or another unavoidable reason may vote by written proxy, but only one proxy vote is allowed.
