§ 6-105. Effect of assignment; when assignment agreement effective.

An assignee gets the assignor’s rights in assigned assets, but takes the assets subject to existing interests and the assignee’s duties; the assignment agreement is effective when the last required party signs unless the agreement sets a later date.
