TCA § 48-234-101 — Contribution allowance agreements

An LLC may enter into contribution allowance agreements, but the agreement must be in writing and must state or incorporate all terms. Post-formation agreements are not enforceable against the LLC unless approved as required, and assignment of a party’s rights is generally barred without member consent.
