Local Government Code § 394.017

Sec. 394.017. FILING OF ARTICLES OF AMENDMENT; ISSUANCE OF CERTIFICATE OF AMENDMENT. (a) Duplicate originals of the articles of amendment must be delivered to the secretary of state. If the secretary of state finds that the articles of amendment conform to law, the secretary shall, when a $25 fee is paid: (1) endorse on each duplicate original the word "Filed" and the date of the filing; (2) file one of the duplicate originals in the office of the secretary of state; and (3) issue a certificate of amendment, to which the secretary shall affix the other duplicate original. (b) The secretary of state shall deliver the certificate of amendment, with the affixed duplicate original, to the housing finance corporation or its representative. (c) On the issuance of the certificate of amendment, the amendment takes effect and the articles of incorporation are amended accordingly. (d) An amendment does not affect an existing cause of action or any pending action to which the housing finance corporation is a party, or the existing rights of persons other than members. If the amendment changes the housing finance corporation's name, the change does not abate a suit brought by or against the corporation under its former name.
