Business Organizations Code § 153.554
A person affected by a failure to execute or file a required certificate, or to execute a partnership agreement, may ask a court for an order. If the court agrees, it must order the secretary of state to record the certificate or grant other appropriate relief, and it must award reasonable expenses and attorney’s fees
