Establishment of Board
The Zambia National Tender Board is established as a body corporate with perpetual succession and a common seal.
3. Thero is heraby established t.he Zambia National Tender Board which shall be a body corporate with perpetual succession and a common seal, capable of suing and of being sued in its corporate name, and with power, subject to the provisions of thie Act, to do all such acts and things as a body corporate may do by law. Composition of Board
The Board must have a Chairman and twelve other members, and the President appoints the Chairman and the non-ex officio members.
4. (I) The Board shall consist of a Chairman and twelve other members of whom the following sliall be ex-officio members- (a) tho Secretary to the Cabinet; (b) the Director-General of the Zambia Industrial and Mining Corporation Limited; (c) the Chairman of the Zambia Consolidated Copper }lines Limited; (d) the Governor of the Bank of Zambia; (e) the Permanent Secretary in the Ministry responsible for financ�; (f) the Permanent Secretary in tho Ministry responsible for development planning; and ('/) the Perma nent Secretary in the Ministry responsible for works and supply. (2) The Chairman and the other members, other than the ex-officio members, shall be appointed by the President. Tenure of office and vacancies
Members other than ex-officio members serve for two years, may be reappointed, and can stay on briefly until a successor is appointed.
5. (I) The provisions of thi.e. soction shall apply to members o\her than the ex-officio members. (2) Subject to the provisions of this section, a. member eha.11 hold office for a period of two yea.rs: Provided that a retiring member may be reappointed. (3) Upon the expiry of the period for which a member is appointed, he shall continue to hold office until his successor has been appointed, but in no case shall such further period exceed three months. Remwteration and allowances of members
A member, except a public officer or a parastatal-body employee, is to be paid remuneration or an allowance set by the Minister.

Functions of Boa.rd
The Board must regulate and control government and parastatal procurement of goods and services.
7. (1) The functions of tho Board shall be to regulate and control the procurement of goods and services for the Govern ment and pa.rastatal bodies. Funotioll8 of Board (2) Without prejudice to the generality of subsection ( 1 ), the .Board may- (a) formulate rules and regulations governing the pro curement of goods and services for the Government and pa.rastatal bodies; (b) advertise locally and abroad tenders for the procure ment of goods and services for the Government and parasta.tal bodies; (c) regulate the procedures relating to the a.ward of contracts on behalf of the Government a.nd parastatal bodies ; (d) formulate the conditions under which any rules and regulations governing the procurement of goods and services for the Government and parastatal bodies may be varied or waived. - 8 Verify source ↗
Committees of Board
The Board may set up committees, delegate functions to them, appoint their members, and committees may regulate their own procedure subject to Board directions.
8. ( 1) The Board may, for the purpose of carrying out its functions under this Act, establish committees a.nd delegate to any such committee such of its functions as it may think fit. Disclosure of interest
A person with a private interest in a matter before the Board or a committee must disclose it and must not join the discussion or vote unless the Board allows it.
9. ( I ) If a person is present at a. mooting of the Board or any committee of the Boa.rd at which any matter is the subject of consideration and in which matter sach person or hi.� Rpouse is directly or indirectly interested in a private capacity, he shaJl, as soon as practicable after the commencement of the mooting, disclose such interest and shall not, unless the Board otherwise directs, take pa.rt in any consideration or discussion of, or vote on any question touching upon, such mattor. (2) A disclosure of interest ma.do under this section shall be recorded in the minutos of the meeting at which it is made. 10. No action or other proceedings shall lie or be instituted against any person for or in respect of any act or thing done or omitted to be done in good faith in the exerci-ro or purported exercise of his functions under this Act. 1 1 . ( I ) The Board shall rogula.te its own procedure and the validity of any proceedings, act or decision of the Board shall not be affocted by any vacancy in the membership of the Board or by any defect in the appointment of any rnornber or by reason that any person not entitled so to do took part in the proceedings. (2) :For the transaction of its business, the Boa.rd shall meet at snch places and at such times, being not less than once every throe months, as the Cbairmo.n may determine . (3) At any meoting of tho Board, one-half of the members holcling office at that time sho.11 form a quorum . (5) A decision of the Board on any question shall be by a majority of the members present and voting at a meeting of the Board and, in the event of an equality of votes, the person presiding at the mooting shn.ll have a casting vote in addition 1 o his deliberative vote. (Ci) Notwithstanding the prons1ons of subsection (.5), a decision may bo made by the Boa.rd on any urgent mattor by the circulation of the relevant papers among the members, and by the expression in writing of the views of the majority thereof : Provided that a.ny momber shall be ontitled to require that any decision Rhall be deferred until the matter is considered at a meeting of the Board. Seal of Board
The Board controls its seal, the Secretary keeps it, and specified officers may authenticate or sign Board documents, sometimes without using the seal.
12. ( J ) 'fho seal of the Board shall be such device as may be determined by tho Board and shall be kept by the Secretary. (3) The affixing of the seu.l of the Board shall be authenti cated by tho Chairman and the Secretary, or by the Chairman and one other person authorised in that behalf by a resolution of the Board. (4) Any contra.ct or instrument which, if entered into or executed by a pnson not being a body corporate would not be required to be under seal, may be entered into or executed ·without seal on behalf of the Board by the Secretary or any other person aut,horised in that behalf by a resolution of the Board. (5) Any document purporting to be a document under the seal of the Board or issued on behalf of the Board shall be received in evidence and shall be deemed to be s o executed or issued, as the case may be, without further proof, unless the contra.11 is proved. - 13 Verify source ↗
Prohibition of publication or disclosure of information
A person must not publish or disclose covered information without written consent from or on behalf of the Board, except in the course of duties.
13. ( l ) No poraon. shall, \\ithout the consent in ,n-iting given by or on behalf of the Board, publish or disclose to any peraon, otherwise than in the course of his duties, the contents of a.ny document, communication or information whatsoever, which relates to, and which has come to his lmowledge in the course of, his dutioo under this Act. Appointment of Director
The President appoints the Director, who must attend Board meetings, may address them, and must not vote.

Secretary and other staff
The Board may appoint a Secretary and other staff, and the Secretary must handle the Board’s day-to-day administration under the Director’s general supervision.
15. (1) There shall be a Seoreta.ry to the Board who shall be appointed by the Boa.rd on such terms and conditions a.a tho Board may determine. (2) The Secretary shall be responsible for the administration of the day-to-day affairs of the Boa.rd under the general supervision of the Director. Inspectorate unit
The Board must establish an inspectorate unit under the Director’s general supervision, and the unit must monitor certain contracts. The Board may also appoint inspectors and other staff to that unit.
16. ( I ) In order to ensure due complia.noe with the provisions of this Act, the Boe.rd shall esta.bliah under the general super vision of the Director an inspectorate unit which shall monitor, in a.ocordanoe with the rule!'i or regulations made under this Act, all contracts placed by the Board, any committee estab lished by the Board, any Government Department or any parasta.tal body. Powers of inspectors, etc
Inspectors and inspectorate staff may access certain government and parastatal records and premises, and may ask responsible financial administrators for relevant information, but access is limited by listed security and confidentiality exceptions.
17. In the performa.nce of his duties under this Act, any inspector or member of staff of the inspectorate unit shall have- (a) access to a.11 books, records, return.q, reports and other documents relating to the work of any Government Department or pa.rastatal body which is under inapeotion ; (b) a.cet;BS at all reasonable times to the premises of a.ny Government Department or pa.rastatal body which is under inspection; Zambia National Tender Board [No. 30 of 1981 245 (c) power to call for any relevant information from persons responsible for the financial administration of any Government Department or parastatal body which is under inspection : Provided that no inspector or mt.mber of staff of the inspec torate unit shall have access to any books, records, retUl'IlB, reports or other documents, or to any premises if- (a) such books, records, returns, reports, other documents or promises belong to any component of tho Defence Force or the Zambia Security Intolligenoe Service; or (b) such access is likely to- (i) prejudice the security, defence or intornational relations of the Republic or the investigation or detection of offences; or (ii) involve the disclosure of any matters or delibera tions of a secret or confidential nature of the Central Committee or the Cabinet or of any sub-committee of the Central Committ,ee or the Cabinet. - 18 Verify source ↗
Failure to comply with prescribed procedures
The responsible officer must make sure procurement of goods or services follows the procedures prescribed by or under the Act.
18. ( 1 ) Notwithstanding anything to the contrary contained in any written Jaw, where any expenditure is to be incurred on any procurement of goods or services, it shall be the duty- (a) in respect of a head of exponditure, of tho controlling officer designated as such for that heo.d of expenditure under section four of the Finance (Control and Management) Act; or (b) in rtspeot of a parastatal body, of the chief executivo officer of that parastatal body ; to enJ1ure that such procurement of goods or services is in accordance with the procedures prescribed by or under this Act. (2) Subject to the provisions of subsection (3), every control ing officer and chief executive officer shall be accountable for failing to comply with the provisions of au bsection (1 ). (3) Where a controlling officer or chief executive officer satisfies the Board that he had, in accorda.noo ·with tho pro visioll.8 of any rules or regulatiollB made under this Act, delegated his function11 under subsection ( 1 ) to any other person or committee, then such other poraon or every member of such committee shall also bo accountable for any failure to comply with the provisions of subsection (1). Surcharge and appeals
The Board must give an affected employee a chance to explain before surcharging, and appeals are available for surcharges over K1,000.
19. ( 1 ) Where the .Board is satisfied that a.n employee of the Government or para.statal body has ca.used financial loss by his recklessness, misconduct or wilful default to follow procedures laid down in this Act or in any regulations ma.de thereunder, the Board shall afford such person a reasonable opportunity to furnish a written explanation as to why he should not be surcharged with the amount of such loss. (2) After considering any explanation furnished under subsection (1), the Board may surcharge such person with the amount of such loss or any part thereof, a.nd certify in writing to that effect. (3) Any person aggrieved by a decision of the Board made under subsection (2) may, where the amount of surcharge is in excess of Kl ,000, appeal against such decision to the High Court or to a subordinate court of competent jurisdiction. (4) The High Court or subordinate court, as the case may be, may, upon determining any appeal lodged under subsection (3)- (a) confirm, vary or quash the decision of the Board ; (b) remit the case to the Board with such directions as it thinks fit for giving effect to the decision on appeal; (c) make such other order as to costs or otherwise as may seem just. (5) The Chief Justice may, by statutory instrument, make rules providing for the period within which appeals under this section may be brought and otherwise regulating such appeals. Paymen, and recovery of surcharge
A certified surcharge becomes due and recoverable within 30 days after the certificate is given, or after any related appeal ends. The Board may allow instalments, but missing an instalment makes the balance payable in full.
20. (1) The amount of every surcharge certified in accord ance with subsection (4) shall become due and recoverable from the emoluments or other financial benefits of such employee within thirty days after a copy of the certificate has been furnished to him or, if an appeal with respect to the Zambia National Tender Board [No. 30 of 1981 247 surcharge has been lodged, within thirty d.,ys after the appeal itt finally disposed of or a.bandoue<l vr fu,ils by non-prosecution thereof, as the case may be. Resisting or obstructing inspector, eto
A person must not assault, resist, or obstruct an inspector or inspectorate staff member while they are using their access or information-gathering powers, and conviction can lead to a fine, imprisonment, or both.
21. Funds of Board
The Board’s funds come from appropriations and other moneys, and the Board may raise money, charge fees, and invest unused funds.
22. ( 1 ) The funds of the Board shall consist of such moneys Fundaor � ��- (a) be appropriated by Parliament for the purposes of the Board ; (b) vust in or accrue to the Board. The Board must keep proper books of accounts and related records, and those records must be open for inspection by the Minister or an authorised person.

Audit of accounts
The Board’s accounts must be audited every year, and the auditor must report to the Minister and the Board.
25. (1) The accounts of the Board shall be audited annually and a detailed report thereon submitted to the Minister and to the Boa.rd. (2) For the performance of his duties under subsection (1), the auditor to the Board shall have access at all reasonable times to all books of accounts, records, returns, reports and other documents relating to the Board's accounts. (3) In respect of each financial year, tho auditor to tho Board shall certify whether or not- (a) he has received all the explanations and other infor mation necessary for the performance of his duties ; (b) the accounts of the Board have been properly kept ; a.nd (c) according to the explaniitions and other information received, and the books of accounts, records, returns, reports and other documents relating to the Board's accounts produced to him, the accounts of the Board reflect a true and accurate financial position of the Board or of its profit and loss position, for the period covered by his certification. - 26 Verify source ↗
Annual reporl
The Board must send the Minister an annual report within six months after each financial year ends, and the Minister must lay it before the National Assembly within seven days after the first sitting after receiving it.
26. (1) As soon a.a is practicable, but not later than six months after the expiry of each financial year, the Board shall submit to the Minister a report containing a ha.la.nee sheet showing the assets and liabilities of the Boa.rd a.s at the la.st day of the financial year to which the report relates, accom panied by a.n income and expenditure account for that financial year, together with all supporting statements a.nd returns duly certified by the auditor to the Board. Regulations
The Minister may make regulations by statutory instrument to carry out this Act, including matters the Board is authorised to formulate, regulate, or prescribe. A contravention of those rules or regulations can lead to a fine, imprisonment, or both.
27. (I) The Minister may, by statutory instrument, make Regu1auous regulations for the bett.er carrying out of the purposes of this Act. (2) Without prejudice to the generality of subsection (1), the Yiniater may, on the recommendation of the Board, make rules or regulations prescribing any matter which the Board is authorised by this Act to formulate, regulate or prescribe.
