Directive 92/49/EEC, as amended, does not preclude a Member State from authorising its competent authority to attach restrictions or requirements to the approval of a proposed acquisition, provided the authority could otherwise validly oppose the acquisition under Article 15b(2), and provided the rights of the proposed acquirer are not adversely affected. Any such restrictions or requirements must be based solely on the exhaustive criteria in Article 15b(1) and must not go beyond what is necessary to satisfy those criteria.
