Ratio Decidendi

The Court held that the special rights (golden shares) maintained by the Portuguese State in EDP constitute restrictions on the free movement of capital under Article 56 EC, as they deter investors from other Member States and are not justified by public security or proportionality. The rights are State measures, not private acts, and their exercise is not subject to objective or specific criteria. The Portuguese Republic failed to demonstrate a genuine and sufficiently serious threat to public security or that the measures were proportionate. Article 86(2) EC was not applicable. Consequently, Portugal failed to fulfil its obligations under Article 56 EC.
