Ratio Decidendi

The Court held that the Commission was entitled to treat the Henss/Isoplus companies as a single economic entity for the purposes of Article 85(1) EC and to hold the component companies jointly and severally liable for the cartel infringement. However, the Court found that the Commission erred in holding HFB KG and HFB GmbH (holding companies formed after the infringement) jointly and severally liable, as they did not exist at the time of the infringement and the original companies continued to exist. The Decision was also inoperative as regards Isoplus stille Gesellschaft, which was dissolved before the Decision was adopted.
