Ratio Decidendi

Exclusive licences of plant breeders' rights that are 'open'—i.e., limited to the contractual relationship between owner and licensee and not affecting third parties—are not in themselves incompatible with Article 85(1) EEC Treaty. However, agreements conferring absolute territorial protection, preventing parallel imports and eliminating competition from third parties, infringe Article 85(1) and are not eligible for exemption under Article 85(3) as such protection is not indispensable for improving production or distribution.
