Ratio Decidendi

The competent court for a collective tort action by an insolvency trustee against a parent company for breach of duty of care is the court of the place where the insolvent company is established, as this is where the direct damage occurs. The applicable law is, in principle, the law of that country, unless a manifestly closer connection to another country is established under Article 4(3) Rome II. Company law exclusions from Rome II do not apply to general duties of care owed to creditors. If the court loses jurisdiction over the main action, it also loses jurisdiction over interventions.
