Ratio Decidendi

The court found that while the distributorship agreement contains a valid arbitration clause, the defendant has expressly admitted owing at least Kshs.65 million to the plaintiff. It would be unreasonable and contrary to the purpose of arbitration to refer the entire claim to arbitration when a substantial portion is undisputed. The court therefore ordered immediate payment of the admitted sum and referred only the disputed balance to arbitration, staying proceedings in respect of that portion. The defendant was ordered to bear the costs of the application.
