Procedural Posture

Civil Suit / Ruling on Originating Summons for Enforcement of Advocate's Professional Undertaking

  1. 1 Whether the defendant is bound by the professional undertaking originally given by the late Mr Kisebu and subsequently adopted by the defendant.
  2. 2 Whether the condition precedent for enforcement of the professional undertaking—completion of the sale of the property—has occurred.
  3. 3 Whether the plaintiff is entitled to payment under the professional undertaking in the absence of evidence of completion of the sale.

Ratio Decidendi

The court found that while the defendant had adopted the professional undertaking originally given by the late Mr Kisebu, the undertaking was expressly conditional upon completion of the sale of the property. The plaintiff failed to provide evidence that the sale had been completed or that the conveyance had been registered. The sale agreement itself was not produced before the court, and there was no proof that the condition precedent for payment under the undertaking had been satisfied. Accordingly, the court held that the plaintiff was not entitled to enforcement of the undertaking or payment of the claimed sum, and dismissed the originating summons with costs to the defendant.
