The Court of Appeal held that, in the absence of explicit statutory procedure in Kenyan company law, the common law applies to derivative actions. Leave to bring or continue a derivative action may be sought contemporaneously with the suit, and the crucial requirement is that the applicant demonstrates locus standi, a prima facie case, and that the action falls within the exceptions to the rule in Foss v. Harbottle. In this case, the company was in a unique 50/50 deadlock, with neither majority nor minority shareholder, and the board was at a stalemate.
