Ratio Decidendi

The court found that the respondent gave a clear, unambiguous, and binding professional undertaking to pay Kshs. 105,000 within 60 days of receiving the title deed. The evidence established a breach of this undertaking. However, the court held that the respondent did not undertake to pay the higher amount of Kshs. 178,689, and thus enforcement could only be for the amount expressly stated in the undertaking. Judgment had already been entered by consent for Kshs. 105,000, and the only remaining issues were interest and costs, both of which the court awarded to the applicant.
