Ratio Decidendi

The plaintiff sought to enforce a right that belonged to the company, namely the recovery of funds allegedly misappropriated by the 1st defendant. Under the common law rule in Foss v Harbottle and the Companies Act, 2015, such a claim must be brought by the company itself or by a shareholder with leave of the court to institute a derivative suit. The plaintiff applied for leave to bring a derivative action but the court record showed that leave was never granted before the application was withdrawn. Without such leave, the plaintiff lacked standing to prosecute the claim on behalf of the company. Consequently, the suit could not succeed and was struck out.

Court Disposition
