Ratio Decidendi

The court found that both the plaintiff and the 2nd defendant entered into sale agreements with the 1st defendant while the property was charged to a bank, and neither obtained the bank's consent as required by the charge instrument and Section 87 of the Land Act. As such, the 1st defendant lacked capacity to transfer the property without the bank's consent, rendering both sale agreements voidable. The 2nd defendant, however, paid off the outstanding loan, obtained a discharge, and was registered as proprietor after conducting due diligence, including an official search and payment of requisite fees. There was no evidence of fraud or collusion by the 2nd defendant or the Land Registrar....
