Ratio Decidendi

The court found that the lease between the parties did not contain a valid and enforceable renewal clause. Clause 2(ii) of the lease, referred to as the renewal clause, merely allowed the Defendant to access the premises for re-letting if the Plaintiff had not exercised a right to renew, but did not itself confer such a right or specify the terms or procedure for renewal. The absence of certainty and essential terms rendered any purported renewal right unenforceable. The Plaintiff's claim for extension or continued occupation was therefore without basis. The lease was for a fixed term and expired by effluxion of time on 31st March 2016, with no further relationship between the parties...

  • The Plaintiff shall vacate and handover vacant possession of the two shops on LR No. 209/5812, Nairobi forthwith and in any event not later than sixty (60) days from the date hereof, failing which the Defendant may apply for warrants for forceful eviction.
