The Court of Appeal held that the committee appointed by the Capital Markets Authority (CMA) was mandated only to conduct investigations and make recommendations, not to impose sanctions. The Board of CMA retained the power to take enforcement action. The respondent, Jeremiah Gitau Kiereini, was given an opportunity to be heard before the committee but expressly waived that right. However, before the Board imposed sanctions and penalties, it was constitutionally required to afford Kiereini an opportunity to be heard in mitigation, as the imposition of sanctions without such a hearing violated his right to fair administrative action under Article 47 of the Constitution.
