The court found that the Plaintiff was entitled to rescind the sale agreement as the 1st and 2nd Defendants failed to complete the sale within the time stipulated in the agreement and the notice issued by the Plaintiff's advocate, making time of the essence. The evidence showed that the transfer could not have been registered on 19/12/2005 as alleged by the Defendants because the valuation for stamp duty was only completed on 23/1/2006. The Plaintiff did not sign any subsequent agreement varying the completion date, and the Defendants failed to prove they were ready, able, and willing to complete the transaction within the required period.
