Ratio Decidendi

The court held that Sayani Investment Limited, as a limited liability company, is a separate legal entity distinct from its shareholders or directors. Even if the respondents are directors or shareholders, they do not own the company’s assets, which belong to the company itself. The funds in the company’s accounts cannot be attached to satisfy the taxed costs owed by the respondents. Furthermore, as the company forms part of the estate of the deceased, its assets can only be dealt with in accordance with the Law of Succession Act. The applicant’s applications to attach and release the funds were therefore without merit and dismissed with costs.
